Provide in-home medical care to those under a doctor's care, but not needing full-time medical care and comprehensive hospice services to those electing individuals with a life expectancy of less than six months.

Governance Explanations

Form 990, Part VI, Section A, Line 6

The members of the organization shall consist of health care service providers and shall be the following entities: (1) bucyrus community hospital (2) galion community hospital bucyrus community hospital and galion community hospital are under the management of avita health system. The president of the board is the ceo of avita health system and only votes in the event of a tie.

Each member shall have the right to elect three (3) directors. The members shall elect the directors at the annual meeting of the members or at a special meeting of the members called for that purpose.

The powers of the corporation shall be exercised, its business and affairs conducted, and its property managed under the direction of the board except as otherwise provided by the laws of the state of ohio, by the articles of incorporation, or by the code of regulations.

A copy of the form 990 is provided to each voting member of the board at a meeting scheduled prior to the filing deadline (normal or under extension). They provide comments to management as needed. The board votes to approve and accept the form 990.

Form 990, part vi, section b, line 12c: the organization has a conflict of interest policy which is reviewed, accepted and signed by each officer and voting board member on an annual basis. Pursuant to this policy, each officer and board member will recuse themselves from any discussion and vote for which a conflict for themselves or their family exists. Determinations of whether a conflict exists are made at a management, board member, officer and individual level. Additionally, employees are required to sign the conflict of interest form annually and disclose any information regarding the policy.

The organization follows the process described in treasury regulation 4958(6)(c) for establishing the rebuttable presumption of reasonableness in the review, approval and documentation of officer, key management, and director compensation. As part of the annual budgeting process, the entire governing board reviews and approves the entire compensation package of each person based on comparability factors including but not limited to the size of the organization, the geographical location of the organization, and the employee's length of service. The governing body appoints a compensation committee to gather comparable data and to make recommendations to the board.

The board of directors approves any change in the independent accountant. They also approve the internal financial statements on a monthly basis and the compiled or audited financial statements annually.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income taxes under the section 501(c)3 of the internal revenue code; accordingly, the accompanying financial statement do not reflect a provision or liability for federal and state income taxes. The organization has adopted teh financial accounting standards board's ("fasb") authoritative guidance on accounting for uncertainty in income taxes. The guidance clarifies teh accounting for the recognition and measurement of the benefits of individual tax positions in teh financial statement. Tax positions must meet a recognition threshold of more-likely-than-not in order to benefit of those tax positions to be recognized in the organization's financial statements. The organization has determined that it does not have any material unrecognized tax benefits or obligations as of june 30, 2022. Fiscal years ending on or after 2019 remain subject to examination by federal adn state tax authorities.
