The association is managed by thomas associates, inc., who provides all supporting and management duties.

Form 990, Part VI, Section A, Line 6

The association has the following classes of membership: full membership: any corporation, firm (including firms under common ownership and applying as a single member), or individual actively engaged in both the manufacture and sale (under its own name), or the design, development, marketing and selling to distributors of continuous web chemical fabrics or film is eligible for full membership in the association. Provisional membership: any corporation, firm, or individual who meets the requirements of full membership may seek non-voting reduced dues status in the association for the initial year of membership. Provisional members are expected to attend and participate in all association activities for the term of the provisional membership. Non-north american membership: any non-north american corporation, firm, or individual who meets the requirements of full membership may designate a wholly owned subsidiary incorporated in north america (which would not be eligible for membership in its own right under the terms of full membership) as its representative for membership in the association. Associate membership: associate membership in the association shall be open to any corporation, firm, or individual which manufactures equipment used in making coated fabrics and/or film, which supplies raw materials used in making coated fabrics and/or film, or which provides services to producers of coated fabrics and/or film, provided that raw material suppliers must have a manufacturing facility in the united states or canada, and providers of services must have a principal office in the united states or canada. All associate members must have been actively marketing a product or providing a service to the coated fabrics and/or film industry for at least one year prior to application for membership, unless such requirement is waived by a unanimous vote of the board of trustees. In addition, no corporation, firm or individual is eligible for associate membership if it or any "affiliate" qualifies for membership under full membership, unless such affiliate is a current full or provisional member. For purposes of this determination, an "affiliate" is any other corporation, firm or individual that is directly or indirectly, in control of, or controlled by, or is under common control with, such corporation, firm or individual. Control of shall mean the power, direct or indirect, (x) to vote more than 50% of the securities having ordinary voting power for the election of directors of such corporation, firm or individual, or (y) to direct or cause the direction of the management and policies of such corporation, firm or individual whether by contract or otherwise.

Voting: at any meeting of the members at which a quorum is present, all matters (other than those in respect of which a different vote is prescribed by law or these regulations) shall be decided by a majority vote of the full members present or represented by valid unrevoked proxies at the meeting. One vote only shall be cast on behalf of each such member. Associate members shall each be entitled to one vote in electing a representative to the board of trustees and in such other matters as may be presented to the associate membership by the board of trustees, and a quorum shall consist of a majority of the associate members present in person or by proxy and entitled to vote.

Financial Statement Notes

PART X, LINE 2:

The provisions of "accounting for uncertainty in income taxes" prescribe a recognition threshold and a measurement attribute for the financial statement recognition and measurement of tax positions taken or expected to be taken in a tax return. For those benefits to be recognized, a tax position must be more-likely-than-not to be sustained upon examination by taxing authorities. The amount recognized is measured as the amount of the benefit that is greater than 50% likely of being realized upon ultimate settlement. The association recognizes interest and penalties accrued, if any, related to unrecognized tax uncertainties in income tax expense. The association has determined that there are no material uncertain tax positions.
