“Form 990, part vi, line 2 other information: ms. Pam basinger is a board member, as well as vice president controller at the commercial and savings bank (csb). The organization maintains cash, investment vehicles and several loans through csb. It is board policy for all accounts to go out for bid and the board must approve the transactions. Ms. Basinger abstains from voting on these activities. All fees/interest charged by csb to goodwill are at normal customary rates charged to all customers. Ms. Lisa reichert is a board member, as well as associate vice president/investments of stifel financial corporation. The organization maintaings its 403(b) retirement account through principal, managed by stifel. It is board policy for all accounts to go out for bid and the board must approve the transaction. Ms. Reichert abstains from voting on these activities. Other board members are owners in businesses that provide services or are a contract customer of goodwill. These transactions are considered as part of the ordinary course of business and do not require board approval.”

“The form 990 is reviewed by the organization's management and the finance committee in detail prior to filing. In addition, a final copy of the federal form 990, as ultimately filed with the irs, is provided to each voting member of the organization's governing body prior to filing the return.”

“The organization provides all officers, directors, and key employees with a copy of the conflict of interest policy. They are required to list any current conflicts that exist. Members of the executive board or members of any committee may not participate by discussion, voting, or by other action the enactment of or defeat of a motion which relates to any transaction with any related party. Annually the officers and directors complete a conflict of interest report which is reviewed by the president/ceo and includes monitoring by the executive committee.”
