Copies of the form 990 are distributed to the members of the executive committee, who then review and formally approve the 990 before it is filed with the irs. The president and comptroller also review and approve the 990 prior to filing.

Form 990, Page 6, Part VI, Line 12C

The corporation ensures that its conflict of interest policy is distributed to all directors and officers of the corporation and members of any committee of the corporation with board delegate powers. The corporation shall require each person to sign an annual statement that such person: (a) received a copy of the conflict of interest policy; (b) has read and understands the policy; (c) agrees to comply with the policy; (d) understands that the policy applies to all committees and subcommittees having board delegated powers. The conflict of interest policy is also included in the corporate bylaws and the employee manual. Both documents are regularly reviewed and evaluated by the board of directors.

Form 990, Page 6, Part VI, Line 15A

The executive committee annually obtains research and information to make a recommendation to the full board for the compensation of the ceo. When determining a salary and benefits package, the following key factors are considered: current size of the organization, geographic location, number of employees supervised, level of skill required, educational background, areas of expertise, work experience, duties assigned and level of responsibility. Additionally, compensation will be determined by using comparability data, including comparison of compensation levels paid by similarly situated organizations for functionally comparable positions. Compensation surveys/studies are used during the annual review process. Compensation is also performance based. The chairman of the board along with the executive committee develop specific objectives for the ceo and regularly evaluate performance against those objectives.

Form 990, Page 6, Part VI, Line 15B

When determining a salary and benefits package for officers or key employees, the following key factors are considered: current size of the organization, geographic location, number of employees supervised, level of skill required, educational background, areas of expertise, work experience, duties assigned and level of responsibility. Additionally, compensation will be determined by using comparability data, including comparison of compensation levels paid by similarly situated organizations for functionally comparable positions. Compensation surveys/studies may also be used. Compensation for these key executives is traditionally determined by the ceo with input from the board of directors.
