Governance Explanations

Form 990, Part VI, Section A, Line 6

The Credit Union is comprised of a single class of approximately 12,400 member-owners, each of which has equal rights in ownership, governance and voting rights at the annual meeting with the exception of members elected to the Board of Directors.

Form 990, Part VI, Section A, Line 7A

The member-owners of the Credit Union have the authority to elect members to the Board of Directors for 3 year terms on a rotating basis. Candidates are elected by a simple plurality vote.

Form 990, Part VI, Section A, Line 7B

Changes to the governing bylaws must be approved by the member-owners after they have been approved by the Board of Directors and the National Credit Union Administration. Approval occurs when at least 50% plus one vote to approve.

Prior to filing, IRS Form 990 and related schedules are reviewed by the CEO. Such review includes confirmation of the accuracy of the return and approval of the appropriate changes. The results of the review are presented to the Board of Directors.

Form 990, Part VI, Section B, Line 15

The process used by the Credit Union to set the CEO's salary is based upon a combination of a comparison of similarly sized credit unions using CUNA's annual compensation survey, review of comparable financial institutions within the State of Ohio, review of the CEO's performance and the overall state of the Credit Union. The review is performed by a committee of the Board of Directors and is presented to the full Board for approval. The process is normally completed on an annual basis.
