Governance Explanations

Form 990, Part VI, Section B, line 11B

Review of form 990: the board has delegated the responsibility of review and approval of the 990 to the audit committee. The audit committee reviews the 990 with the auditors prior to filing. The public inspection copy of the final 990 is then provided to all board members at the next full board meeting.

Form 990, Part VI, Section B, line 12C

Monitoring and enforcement of conflict policy: conflicts of interest are monitored by the board on a regular basis. When a conflict arises, the individual with the conflict is not permitted to participate in the discussion of the matter or to vote. The decision about the transaction is made by persons who are independent of the individual with the conflict.

Form 990, Part VI, Section B, line 15

Review and approval of compensation: the board has established a compensation committee which is charged with general oversight of the compensation of the executive director and other key officers of the organization. The compensation committee shall do the following on an annual basis: - conduct a survey of comparable salaries to benchmark compensation of executive officers, utilizing available data from industry-specific reports and studies; - evaluate the executive officer(s), or review the evaluation conducted at the chairman's direction, and discuss performance relative to the position description and objectives; - develop compensation recommendations based on the compensation survey and evaluations; - present the recommendations to the executive committee for review and approval. The board chairman shall present the results of the evaluation and compensation determination to the executive director and document the process.
