Governance Explanations

Form 990, Part VI, Section A, Line 2

Edward white and fred white have a familial relationship.

Form 990, Part VI, Section A, Line 4

Changes in fy 2017 to the code of regulations: a new charter school committee was created and the community and church relations committees joined together to form one committee. Those sections of the code of regulations were revised. The following are the new sections: section 5. Standing committees: (i) charter school committee. Ohioguidestone is the management company of stepstone academy, a community school of choice in cleveland's central neighborhood. While this is currently the only school under management, it is contemplated that future schools would be included in the scope of this committee. It is the responsibility of this committee to review the strategic plans prepared by the management team of the school(s), and upon approval by the committee to recommend those plans to the full board for approval. The committee will review the strategic direction of the school(s), including goals and outcomes. The committee will meet quarterly with representatives from the management company, the school and the school board. General topics to the agenda will include, academics, social / emotional culture, growth plans, advancement and financials. (d) community and church relations committee. It shall be the responsibility of this committee to manage the organization's participation in the larger community to identify and respond to health and human services needs through involvement with local, state, national and world groups. This committee will work with administration to assess the organization's image and impact in the community and promote activities which increase awareness of its services and activities. Inasmuch as the organization's mission is seen as an outreach ministry of the united methodist church, this committee will assist, evaluate and promote activities with local churches, districts, the east ohio conference and national associations related to that body of faith. It will therefore, also assist the executive committee of the board of trustees in assuring that a relevant covenant relationship is in place with the east ohio conference of the united methodist church. This committee will also work with the administration for the mutual support and assistance of other denominations and organizations of faith. It will further evaluate and assist the organization to promote health and welfare careers through internships, field work and other activities which present opportunities to experience the work of the organization first hand. The committee will oversee and assist the agency's recruitment of volunteers, their training, evaluation and recognition. It will be responsible for the oversight and coordination of groups of volunteers such as the advocacy committee, who have as their purpose the promotion of the organization through events and money making activities.

Form 990, Part VI, Section B, Line 11B

The staff of ohioguidestone provides all information required to prepare the form 990 and the actual return is prepared by our accountants. Once prepared, the form is reviewed by the agency's chief financial officer prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The agency has a conflict of interest policy that was approved by the board of directors. New board members are given a copy of the policy and notify the president and ceo immediately if any new conflicts arise. Existing conflicts of interest are reviewed on an annual basis by the president and vice president of finance and administration. Board members do not vote on issues which relate to existing conflicts.

Form 990, Part VI, Section B, Line 15A

The president and ceo is annually evaluated by the board of directors who appoint the chairs of the board, finance committee and human resource committee to conduct the formal evaluation. Once the evaluation is completed and approved by the board of directors, based on the recommendation of the appointed board members, the president and ceo's compensation is updated, as well as goals related to the operations and future sustainability of the organization. The annual level of compensation determined by the board of directors is directly related to the success of organizational goals and objectives and organizational growth. Yearly salary surveys of other president and ceo's in the social service industry are utilized to ensure a competitive balance is attained and continued.

Form 990, Part VI, Section C, Line 19

The organization does not make its governing documents or conflict of interest policy available to the public; however, the organization does include its annual report, which contains the financial statements, on its website.

FORM 990, PART XI, LINE 9:

Change in value of charitable gift annuity obligations -47,844. Change in beneficial interest in perpetual trusts -47,211.

Financial Statement Notes

PART V, LINE 4:

The endowment funds of the organization are used according to donors' stipulation if applicable. Term restricted endowment funds are released into operations as approved by the board of directors and are used to further the mission of the agency.

PART X, LINE 2:

The financial accounting standards board (fasb) provides guidance for how uncertain income tax positions should be recognized, measured, disclosed and presented in the financial statements. This requires the evaluation of tax positions taken or expected to be taken in the course of preparing tax returns to determine whether the positions are more-likely-than-not of being sustained when challenged or when examined by the applicable tax authority. Tax positions not deemed to meet the more-likely-than-not threshold would be recorded as a tax benefit or expense and liability in the current year. For the year ended june 30, 2017, management has determined that there are no uncertain tax positions. With few exceptions, the organization is no longer subject to tax exemption by the tax authorities for the years prior to 2014.
