Nacs works to successfully integrate the collegiate retail industry into the higher education ecosystem through advocacy, strategic partnerships, innovative direction, education, and resources that support student academic success and the campus experience.

Nacs serves as the primary resource for those business professionals managing and working in campus-based retail operations, with particular emphasis on the stores that are owned by the institution, its faculty, or its students.

Members of the organization - the association has several classes of membership. Store members, which are representatives from college stores directly engaged in the retail sale of educational materials and/or other products and services to the higher education community, are voting members and may hold office in the association. The following member groups are permitted to hold office: associate members, associate representative members, and professional members. The following member groups are not eligible to hold office: subscriber members, affiliate members, individual members, and honorary life members.

Members' powers of election - full dues-paying college store members have voting rights and elect the entire board of trustees.

Monitoring and enforcement of conflict policy - the organization has procedures in place to monitor and enforce the conflict of interest policy. When a conflict arises, the effected persons are not permitted to vote on the matter or participate in the discussions. The decision is made by persons who are independent of the individual(s) with the conflict.

Compensation review and approval - all employees, including officers and key employees, are subject to a wage and salary administration program. This program includes the use of an outside compensation consultant and comparability data. The chief executive officer's compensation was set by the board of trustees, who are independent of the executive. The chief executive officer sets the compensation of other officers and key employees. The ceo is independent of the persons for whom he made compensation decisions.

Financial Statement Notes

PART X, LINE 2:

Fin 48 (asc 740) footnote - nacs is exempt from federal income taxes under section 501(c)(6) of the internal revenue code. Partnership and indico are single member limited liability companies that are disregarded for tax purposes. Effective april 1, 2018, nacs contributed its ownership in partnership and indico to nacs services company, llc, a taxable entity. Therefore, the income from these entities flows through to nacs services company, llc where it is subject to tax. The association accounts for income taxes in accordance with the provisions of fasb asc topic 740, "income taxes." asc topic 740 utilizes the asset and liability method, where deferred tax assets and liabilities are recognized for the future tax consequences attributable to differences between the financial statement carrying amounts of existing assets and liabilities and their respect tax bases. Deferred tax assets and liabilities are measured using enacted tax rates expected to apply to taxable income in years in which those temporary differences are expected to be recovered or settled.

PARTNERSHIP AND INDICO ARE SINGLE MEMBER LIMITED LIABILITY COMPANIES THAT ARE DISREGARDED FOR TAX PURPOSES. EFFECTIVE APRIL 1, 2018, NACS CONTRIBUTED ITS OWNERSHIP IN PARTNERSHIP AND INDICO TO NACS SERVICES COMPANY, LLC, A TAXABLE ENTITY. THEREFORE, THE INCOME FROM THESE ENTITIES FLOWS THROUGH TO NACS SERVICES COMPANY, LLC WHERE IT IS SUBJECT TO TAX. THE ASSOCIATION ACCOUNTS FOR INCOME TAXES IN ACCORDANCE WITH THE PROVISIONS OF FASB ASC TOPIC 740, "INCOME TAXES." ASC TOPIC 740 UTILIZES THE ASSET AND LIABILITY METHOD, WHERE DEFERRED TAX ASSETS AND LIABILITIES ARE RECOGNIZED FOR THE FUTURE TAX CONSEQUENCES ATTRIBUTABLE TO DIFFERENCES BETWEEN THE FINANCIAL STATEMENT CARRYING AMOUNTS OF EXISTING ASSETS AND LIABILITIES AND THEIR RESPECT TAX BASES.
