Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization permits all local firms, individuals, associations, corporations, parnerships, estates, agencies, or entities interested in the objectives stated in the articles of the medina area chamber of commerce to be eligible for membership. Those who elect to join pay a predetermined fee and receive benefit services in return for those fees paid.

Form 990, Part VI, Section A, Line 7A

The organization permits all local firms, individuals, associations, corporations, parnerships, estates, agencies, or entities interested in the objectives stated in the articles of the medina area chamber of commerce to be eligible for membership. These members are permited to elect one or more members to the governing body.

Form 990, Part VI, Section B, Line 11B

The executive committee is responsible for initial review of the tax-exempt returns. Once they have reviewed the return, they present it to the board of directors, who also review the return before it is submitted to the appropriate taxing authorities.

Form 990, Part VI, Section B, Line 12C

The organization requires each employee and board member to complete a conflict of interest disclosure statement annually and retains those statements with the organization's files. Everyone is encouraged to disclose or bring to attention any potential conflicts to an officer of the organization so that appropriate safeguards can be taken to protect all parties involved.

Form 990, Part VI, Section B, Line 15

The organization's board of directors are responsible for determining the compensation of the executive director using deliberation/decision in their meeting. Information is typically presented by another member of the board, followed by questions and deliberation. Before the end of the meeting, the compensation is carried by motion from any two of the board members excluding the executive director. The organization's board of directors is also responsible for setting the compensation of other employees. Each year compensation is evaluated while preparing the budget and any changes are carfully weighed and considered. If any changes are made throughout the year, they too would be approved by the board of directors.

Form 990, Part VI, Section C, Line 19

The organization makes its most recently filed tax-exempt returns and form 1024 available to the public by request. In addition, the organization's most recent tax-exempt returns generally are or will be available to the public on-line through websites such as <www.guidestar.org>, and <https://www.irs.gov/charities-non-profits/tax-exempt-organization-search>.
