Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy applies to interested persons in a position to influence organizational decisions who may have an actual or possible financial interest in a proposed transaction or arrangement. Covered persons must disclose any such interest and provide all material facts to the governing board and any committees considering the matter. After disclosure and discussion, the interested person must leave the meeting while the board or committee discusses and votes on whether a conflict exists. The remaining disinterested board or committee members decide, by vote, whether a conflict of interest is present. If a potential conflict is being addressed, the interested person may make a presentation, but must then leave the meeting for the discussion and vote on the transaction or arrangement itself. If appropriate, the president of the board or committee may appoint a disinterested person or committee to investigate alternatives. The board or committee then performs due diligence to determine whether the organization can obtain a more advantageous arrangement from an unrelated party that would not create a conflict. If no reasonable alternative exists, the board or committee determines by a majority vote of disinterested directors whether the proposed transaction is in the organization's best interest, for its own benefit, and fair and reasonable, and then decides whether to proceed. The policy imposes clear restrictions on conflicted persons, including required recusal from deliberations and votes both on the conflict determination and on the underlying transaction. If the board or committee has reasonable cause to believe a person failed to disclose a conflict, it informs the person of the basis for that belief, allows an explanation, investigates further as warranted, and may impose disciplinary or corrective action if non-disclosure is confirmed. Meeting minutes must document the individuals involved, the nature of disclosed interests, actions taken to evaluate the conflict, the final determination, who participated in discussions and votes, alternatives considered, and the votes taken.
