“On an annual basis, each member of the board shall be provided with a copy of the conflict of interest policy, and shall complete and sign the acknowledgement and disclosure form certifying that: 1. To the best of their knowledge and belief, neither they nor any person or organization with whom they have a personal or business relationship intends to engage in any transaction, to acquire any interest in any organization or entity, or to receive any substantial gift or favor that may represent a conflict with their obligations to the corporation. 2. To the best of their knowledge and belief, they do not expect to receive compensation from the corporation, or to receive in excess of $10,000 annually from the corporation for services they provided to the corporation as an independent contractor, other than reimbursement of reasonable expenses. 3. To the best of their knowledge and belief, no member of their family expects to receive any compensation or material financial benefit from the corporation. 4. To the best of their knowledge and belief, they have no family relationship or business relationship with any current member of the board of directors, any officer, or any key employee of the corporation.”

“No directors, officers, or employees of the organization were compensated in 2024. Any future compensation paid to such individual will undergo an assessment of reasonableness according to benchmarks of market data for similar positions.”

“The organization's governing documents, conflict of interest policy, and financial statements are available to the public upon request.”
