“The board of directors is authorized by the organization's bylaws to establish an executive committee and other committees as needed. If an executive committee is created, it consists exclusively of board members, with at least three directors serving on the committee. This committee may exercise the powers of the board between meetings, except for certain matters that, by law or by specific reservation in the bylaws, remain solely within the board's authority. These exceptions include filling vacancies on the board or its committees, adopting, amending, or repealing the articles of incorporation or bylaws, approving transactions outside the ordinary course of business, and setting compensation for directors. The board retains the right to further limit the committee's authority by resolution, and all such committees serve at the pleasure of the board, which may remove them at any time, with or without cause. Any vacancies on the committee may only be filled by the board itself. Committees act only during the intervals between board meetings and are always subject to the board's control and direction. Actions taken by the committee require the approval of a majority of its authorized members. No non-board members are permitted to serve on these committees, and the scope of their authority is strictly limited to what the board delegates. Third parties are entitled to rely on the committee's actions, provided those actions are within the authority granted by the board.”
