Form 990, Part VI, Section B, line 11B

For the period covered by this Form 990 tax return, the Organization engaged an independent certified public accounting firm to prepare and file its Form 990 on its behalf. Complete copies of the drafted Form 990 were provided to the Organization's entire Board of Directors for their review prior to the tax return's submission to the IRS.

Form 990, Part VI, Section B, line 12C

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial or duality interest and be given the opportunity to disclose all material facts to the directors and board-level committees considering the proposed transaction or arrangement. After disclosure of the financial or duality interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists, based upon the facts and circumstances and any presentation or information offered by the interested person. The Full Board will then decide if the Organization can obtain a more advantageous transaction or arrangement than the one proposed that contains a potential conflict. The Organization is to keep records and minutes of any discussions and resolutions for potential conflicts of interest. Furthermore, each director, officer, and key employee shall annually sign a statement affirming that such person: (a) Has received a copy of the conflicts of interest policy, (b) Has read and understands the policy, (c) Has agreed to comply with the policy, and (d) Understands that the Corporation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities that accomplish one or more of its tax-exempt purposes. Lastly, the Organization allows that interested persons who fail to disclose a conflict of interest may be subject to disciplinary action.

Form 990, Part VI, Section B, line 15

As of the filing of this Form 990, the Organization has no paid employees, and no officers or directors have received any compensation for their role as officer or director with the Organization. However, the Organization's governing documents allow that, when the Organization does have paid employees, the board will approve payment arrangements in advance of paying compensation, document in writing the date and terms of approved compensation arrangements, record in writing the decision made by each individual who voted on compensation arrangements, and will approve compensation arrangements based on information about compensation paid by similarly situated taxable or tax-exempt organizations for similar services. Voting members of the governing board, should they receive compensation, are precluded from voting on matters pertaining to their compensation and benefits. However, no voting member of the governing board or any committee whose jurisdiction includes compensation matters and who receives compensation, from the Corporation, either individually or collectively, is prohibited from providing information to any committee regarding compensation.
