Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by the outside accountants and reviewed in detail by the executive director, the coo, the controller, and the treasurer. A final copy of the form 990 was reviewed by the full board prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Officers and directors are required to annually sign a conflict of interest policy. If a conflict arises, it is discussed among the executive committee members and then taken to the full board for consideration. The interested person is recused from all discussions and voting on the matter.

Form 990, Part VI, Section B, Line 15A

The human resources (hr) committee of the board of directors conducts a performance evaluation of the ceo and an analysis of benchmarking compensation surveys from organizations representative of the nonprofit industry. After reviewing the materials, the hr committee recommends the salary increase to the executive committee of the board and then to the full board. The full board votes to approve the salary. The deliberation and decision of this process is conducted in an executive session and substantiated by board approval of the hr committee recommendation. The chair of the hr committee reports the salary increase to the chief operating officer. The last review took place in december 2020. The ceo has the authority to determine all other compensation in consultation with the board.
