Form 990, Part VI, Section B, Line 11

At the completion of the audit, the finance committee of the board of directors convenes with the audit firm to review the results of the audit and the form 990. The results of the audit are discussed in detail and the finance committee makes a recommendation to the full board of directors to approve or not approve the audit and form 990. The full audit documents, financial statements and form 990 are provided to the full board of directors prior to the meeting. The board of directors review the documents and then vote to approve or not approve the audit.

Form 990, Part VI, Section B, Line 12C

Board members are asked to disclose any conflicts of interest annually. In the event a conflict exists, the conflicted member leaves the room while the issue is discussed with the full board. If a conflict of interest is determined to exist, the conflicted board member is allowed to make a case, and the board then discusses whether there is an alternative to the conflict; if the board member will need to end the conflict or take the appropriate action needed to end the conflict. All proceedings related to conflicts of interest are documented in the meeting minutes.

PART X, LINE 2:

Wellstone action! Is exempt from federal income taxes under the provisions of section 501(a) of the internal revenue code as an entity described in section 501(c)(4) and is exempt from state income taxes and similar income tax laws. Therefore, no provision for income taxes has been made. The organization adopted guidance in the income tax standard regarding the recognition of uncertain tax positions. This guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. The organization's tax returns are subject to review and examination by federal authorities.
