“The organization's attorney members and judicial members have the right to vote, as set forth in the bylaws, on the election of directors, on the disposition of all or substantially all of the assets of the organization, on any merger, and on any election to dissolve the organization, in addition to any other rights afforded members under the california nonprofit mutual benefit corporation law. If the organization is dissolved, those members shall receive a prorata distribution of all assets, exclusive of those held in charitable trust, remaining after payment or provision for payment of the obligations and debts of the organization and provision for any other payment required under applicable law.”
