“Each year at the Annual Meeting in January, board members receive a letter from the President including a written description of the organization's conflict of interest policy, which is reviewed during the meeting, for signature and subsequent submission by board members. Throughout the year, members who report a potential or actual conflict of interest are asked to recuse themselves during votes affecting their interests. One board member currently owns shares in an investment management business which receives compensation for its advisory services relating to Maloof Foundation investments, however these fees are rebated to the Foundation without personal benefit to the shareholder board member. In addition to the written conflict of interest policy, board members are more generally excluded from engaging in business dealings of any kind that deliver any potential for financial gain, payment for professional services, or paid compensation of any kind.”
“The setting of compensation for the Executive Director is overseen by the Executive Committee of the Board of Directors, which consists of officers of the board. The Executive Committee recommends compensation for the Executive Director and key employees as part of the annual budgeting process, and may take into consideration prevailing rates of pay for comparable not-for-profit institutions in the region, as well as related measures of institutional size, budget, overall performance and individual performance relating to annual grant-seeking and fund-raising activities.
