The Chloropicrin Manufacturers' Task Force

“The organization has members of two separate classes. Each class has specific interests and participation that limit their voting rights. Members are either categorized as class 1 members or associate members. All members are part of the board and vote on issues that affect their class. Class 1 members are the only members that vote in regards to data development. Both class 1 and associate members are involved with lobbying and vote in regards to lobbying.”

“Every member of the board of directors has that position because they represent an organization that is a paying member of the chloropicrin manufacturers' task force. Members do not technically elect other members to sit on the board because by virtue of being a member, they are also on the board. Each member has a vote on the activities of the organization. There are two classes of membership in the organization, class 1 members and associate members. Class 1 members can vote on all issues, including those related to data development and lobbying. Associate members also vote on the organization's general activities, including lobbying. They advise but do not vote on the data development activities.”

“Decisions of the organization are subject to approval by members of the organization who also are members of the board. Members will vote on specific interests as their types of class allow them to. Class 1 members vote on all activities, including lobbying and data development. Associate members can vote on all activities, including lobbying, but do not vote in any decisions related to data development.”

“The chairman of the board of directors will perform a detailed review of the form 990 after it is prepared by the entity's cpa firm. All members of the board will receive a copy of the form 990 prior to filing. After any neccessary changes are made, the organization will circulate the final copies to every member.”

“The organization makes the form 1024, form 990, articles of incorporation, and bylaws available to the public upon request and at the organization's headquarters.”

“The filing entity is a task force organized under irc section 501(c)(6) and is composed of members of various companies involved in manufacturing of chloropicrin. The organization has not implemented a conflict of interest policy because all activities performed by the filing entity benefit the public through improving and enhancing the chloropicrin manufacturing industry.”
