Governance Explanations

Form 990, Part VI, Section A, Line 4

During the current year, the organization amended its bylaws. The significant amendments are summarized as follows: - in article ii: the membership attendance requirement was revised to require attendance at two of the last four conferences, replacing the prior requirement of attendance at two of the last three conferences. - in article v: a. The officer position of deputy treasurer on the board of directors was eliminated, and the officer position of secretary was established. B. In the event of the treasurer's absence or vacancy, the deputy treasurer will no longer succeed to the position. Instead, the president shall appoint an eligible representative to assume the duties and serve the remainder of the treasurer's term until the position is filled. C. The secretary position was formally defined, including its duties and responsibilities. The secretary serves as the parliamentarian and holds primary responsibility for coordinating with the executive director and the executive committee on personnel and human resources matters. In the event of the secretary's absence or vacancy, the president shall appoint an eligible representative to assume the duties and serve the remainder of the term until the position is filled. D. The newly elected board members will begin their terms in june instead of july. E. The deputy treasurer was removed from the nomination process, and the secretary position was added to the nomination process. F. The treasurer no longer must serve as deputy treasurer before taking over the treasurer position. The secretary's term was established as 2 years. - in article vi: the secretary replaced the deputy treasurer as a member of the executive committee.

Form 990, Part VI, Section A, Line 6

There shall be one class of statutory members and two classes of non-statutory, non-voting members: members, affiliate members and special members. A. Members are employed by a california community college district, have attended two (2) of the last four (4) conferences, and meet all other rules, conditions and policies established by the board. Members are entitled to vote in cccaoe elections and on all matters coming before the membership, and to participate in cccaoe governance as set forth in these bylaws. B. Affiliate members are not employed by a california community college district and meet all other rules, conditions and policies established by the board. Affiliate members are not eligible to vote in cccaoe elections, nor may they serve as officers or board members of cccaoe. Affiliate members may serve on any cccaoe committees. Affiliate members shall be non-statutory, non-voting members under the california corporations code. C. Special members are eligible to join cccaoe based on a status they have achieved in their careers or lives. Special members are not eligible to vote in cccaoe elections, nor may they serve as officers or board members of cccaoe. Special members may serve on any cccaoe committees. Special members shall be non-statutory, non-voting members under the california corporations code. Special members include: i. Emeritus members are retired from employment in a california community college district and have achieved emeritus status as determined by the board. Ii. Honorary members have achieved a status in their careers or lives which has been recognized by the board as worthy for honorary membership. Iii. Workforce members such as industry partners, workforce development board members and/or any other related persons as deemed by the board.

Members are entitled to vote in cccaoe elections and on all matters coming before the membership, and to participate in cccaoe governance as set forth in the bylaws. Which includes amending the bylaws to change the authorized number of directors serving on the board of the association and approve board members established by policies proposed by the board.

The bylaws may be amended by a two-thirds vote of the board, provided that certain amendments to the bylaws specified in the california nonprofit corporation law, including those that materially and adversely affect the rights of members or change the authorized number of board members, must be approved by the members. The presence of ten percent of the voting membership constitutes a quorum. Whenever a quorum is present, an act or decision made by a majority of the voting members is a valid act or decision.

The cccaoe board signs the conflict-of-interest policy annually or upon assuming office. The conflict of interest policy is reviewed annually at the summer board meeting/retreat. The board shall be the body which determines when a conflict of interest arises, and shall ensure that no leader or member inappropriately uses his or her position with cccaoe for personal financial or political purposes. A possible conflict of interest arises when a leader has a financial interest in, or will receive any direct personal benefit from, a business furnishing services, materials or supplies to cccaoe. "financial interest" for his purpose shall include any position as owner, board member, partner, employee or other beneficiary. Said conflict of interest shall be disclosed to the board, and the leader shall recuse him or herself on any such matter.

The executive director's contract is determined and approved by the board after reviewing compensation of this position in similar organizations. This process is completed by the executive committee annually. There are no other compensated officers or key employees of the organization.

THE ORGANIZATION WAS FORMED TO PROVIDE EXPERTISE, REPRESENTATION, PROFESSIONAL DEVELOPMENT AND OPPORTUNITY FOR COMMUNICATION BY AND BETWEEN THE ADMINISTRATORS, STAFF, AND FACULTY OF VOCATIONAL/OCCUPATIONAL EDUCATION IN THE CALIFORNIA COMMUNITY COLLEGES. THE NEED FOR THIS ORGANIZATIONAL STRUCTURE WAS BASED UPON THE COMPLEXITIES OF ADMINISTERING THE WIDE VARIETY OF VOCATIONAL/OCCUPATIONAL PROGRAMS, AS WELL AS THE NEED TO SHARE CURRENT INNOVATIONS AND FUTURE PROJECTIONS AND PROGRAM DIRECTIONS.THE ASSOCIATION SPONSORS TWO (2) STATEWIDE CONFERENCES DURING EACH YEAR. ONE IS HELD IN THE SPRING (APPROXIMATELY APRIL) AND THE OTHER IN THE FALL (APPROXIMATELY OCTOBER). THEY ARE HELD IN THE NORTH AND SOUTH. THE FIELD OF CAREER TECHNICAL EDUCATORS ARE INVITED TO ATTEND THESE CONFERENCES. THE TOPICS SELECTED FOR PRESENTATION ARE BASED ON THE PERCEIVED NEEDS OF THE FIELD. THE TOPICS ARE RELATED TO ACTIVITIES, ISSUES, CONCEPTS AND DIRECTIONS OF THE PROGRAM OF VOCATIONAL/OCCUPATIONAL/CAREER EDUCATION. IN ADDITION, CCCAOE PROVIDES AN ANNUAL LEADERSHIP ACADEMY (TYPICALLY JANUARY). THE INTENT IS TO DEVELOP FUTURE LEADERS IN THE FIELD OF CAREER EDUCATION. ADDITIONALLY, CCCAOE PARTICIPATES IN COMMUNITY COLLEGE ADVOCACY WORK. THE ADVOCACY WORK IS COMPLETED BY INCLUDING COMMUNITY COLLEGE STAFF, CCCAOE MEMBERS, AND STUDENTS AS PART OF THE ADVOCACY TRAINING PROVIDING THE EXPERIENCE OF TALKING/EDUCATING LEGISLATORS AND THEIR STAFF ON CAREER EDUCATION.

THE SIGNIFICANT AMENDMENTS ARE SUMMARIZED AS FOLLOWS: - IN ARTICLE II: THE MEMBERSHIP ATTENDANCE REQUIREMENT WAS REVISED TO REQUIRE ATTENDANCE AT TWO OF THE LAST FOUR CONFERENCES, REPLACING THE PRIOR REQUIREMENT OF ATTENDANCE AT TWO OF THE LAST THREE CONFERENCES. - IN ARTICLE V: A. THE OFFICER POSITION OF DEPUTY TREASURER ON THE BOARD OF DIRECTORS WAS ELIMINATED, AND THE OFFICER POSITION OF SECRETARY WAS ESTABLISHED. B. IN THE EVENT OF THE TREASURER'S ABSENCE OR VACANCY, THE DEPUTY TREASURER WILL NO LONGER SUCCEED TO THE POSITION. INSTEAD, THE PRESIDENT SHALL APPOINT AN ELIGIBLE REPRESENTATIVE TO ASSUME THE DUTIES AND SERVE THE REMAINDER OF THE TREASURER'S TERM UNTIL THE POSITION IS FILLED. C. THE SECRETARY POSITION WAS FORMALLY DEFINED, INCLUDING ITS DUTIES AND RESPONSIBILITIES. THE SECRETARY SERVES AS THE PARLIAMENTARIAN AND HOLDS PRIMARY RESPONSIBILITY FOR COORDINATING WITH THE EXECUTIVE DIRECTOR AND THE EXECUTIVE COMMITTEE ON PERSONNEL AND HUMAN RESOURCES MATTERS. IN THE EVENT OF THE SECRETARY'S ABSENCE OR VACANCY, THE PRESIDENT SHALL APPOINT AN ELIGIBLE REPRESENTATIVE TO ASSUME THE DUTIES AND SERVE THE REMAINDER OF THE TERM UNTIL THE POSITION IS FILLED. D.
