Governance Explanations

Form 990, Part VI, Section A, Line 1A

Ccee has an executive committee. The member of the executive committee includes the officers of the board of directors. Between meetings of the board of director, the executive commmittee shall process the powers of said board. Any action by the executive commmittee shall be reported to the board of directors. A quorum shall consist of a majority of the numbers of the executive committee.

The form was reviewed by the audit committee and circulated to the board of directors, for review, prior to filing.

Form 990, Part VI, Section B, Line 12C

A conflict of interest is defined as a financial relationship between a director or a related person and the council. A related person includes a spouse, close companion, sibling, the spouse or descendent of a sibling, ancestor, descendent or in-law of the director, or a trust or business entity in which the director or a related person has a material interest or of which he or she is a director, an officer or an employee. Annually, the board circulates information describing what a conflict of interest is to each board member and requests acknowledgement that each board member has no conflicts, or reports such conflicts. The board follows up with nonrespondents and in such cases where such acknowledgement isn't provided, generally a small percentage of the board, the executive committee discusses the activities of the board member and any conflicts noted. Any director having a conflict of interest shall not vote or use his or her personal influence to address the matter, and he or she shall not be counted in determining the quorum for the meeting.

Form 990, Part VI, Section B, Line 15A

Each year, the ceo works with the executive committee to draft a set of performance measures and goals for the operation based on the strategic and operations plan for the year. These goals are benched against the previous year and often times carry over to subsequent years and new goals are formed as well. Every quarter, the ceo and the board chair review progress toward these goals in an informal conversation. The ceo provides quarterly financial and program reports for the chair and the executive committee to review. At the end of each fiscal year, the ceo prepares a performance summary that details annual results against goals. This document is reviewed by the executive committee of the board and then used by the ec to draft a comprehensive performance evaluation based on the reported results and ec observations. The performance evaluation is used as the gauge for ceo compensation, i.e., cost of living increases and/or bonuses. Each year, the chair of the board reviews a published national non-profit wage analysis for ceos/executive directors, and shares it with the executive committee to ensure that ccee is within the range of national norms and comp ranges. The ceo's year end performance review is conducted within the first quarter of the subsequent fiscal year.
