The organization's 990 is first reviewed by the management team. Next the audit committee reviews the return. Final review and approval of the 990 is done by the board of directors before it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization's board of directors is required to sign a conflict of interest policy annually. Monthly, at each meeting, the board chair asks the directors if there are any conflicts of interests and reviews any forms for possible conflicts. If a conflict of interest exists, the interested person may make a presentation at the governing board or committee meeting, but must leave during the discussion and vote on the matter involving the conflict. The board chair or committee chair, if appropriate, will appoint a disinterested person to investigate alternatives. After exercising due diligence, the governing board or committee will determine whether partnerships with industry (pwi) can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If no such option is reasonably possible, the disinterested members of the governing board or committee will vote on whether the transaction or arrangement is in pwi's best interest, for its own benefit, and whether it is fair and reasonable.
