The corporation shall have one member, namely the illinois alumni association of alpha delta phi (the "member").

The officers of the corporation shall be elected by the board, subject to confirmation by the member. The president and secretary must be directors. The board may also from time to time elect or appoint other officers, assistant officers, and agents who shall have such authority and perform such duties as the board may prescribe, and such other officers may or may not be members of the board of directors. The terms of office shall expire at the annual meeting held two years after that at which the officer was elected or at such time as his successor is appointed and qualified or until his earlier death, resignation, or removal from office.
