There are other matters which require votes of the directors, subject to the approval by the member: merger or consolidation of the corporation and adoption of a plan of merger or consolidation; creation of any subsidiary or controlled affiliate, entry into any joint ventures involving capital investments, and merger or consolidation of any of the foregoing; voluntary dissolution of the corporation and adoption of a plan providing for the distribution of assets of the corporation; sale, lease, exchange, transfer, or other disposition of all or substantially all of the property and assets of the corporation; removal of an officer of the corporation elected by the board of directors; approval of the corporation's annual budget; approval of strategic plans of the corporation; any capital expenditure that, alone or together with all other capital expenditures over a twelve-month period, exceeds $500,000; any incurrence or assumption of debt; and any matter for which approval of the member is required by the illinois not for profit corporation act, the articles of incorporation, or the bylaws, or is otherwise deemed desirable by the board of directors.”
