South Campus Partners (SCP) has a support services agreement with Loyola University Medical Center (LUMC). Under the agreement, LUMC provides SCP with executive oversight and management of the Facility's day-to-day business operations with respect to management staff, financial reporting and accounting, bio-medical clinical engineering, managed care contracting, marketing and community relations. SCP compensates LUMC $10,000 annually for Operational Management Services and Executive Oversight.

The members can exercise action on the following matters: (a) amend, modify, repeal or waive any provision of the Articles of Incorporation or the Bylaws; (b) increase or decrease the number of Directors constituting the Board; (c) make any material change to the purposes of the Corporation or enter into any business other than that contemplated by the purposes of the Corporation; (d) admit, or approve the withdrawal of, a Member; (e) incur any indebtedness, pledge or grant liens on any assets or guarantee, assume, endorse or otherwise become responsible for the obligations of any other person, except to the extent approved or authorized in the then-current Budget (f) make any loan or advance to, or capital contribution in, any person, except to the extent approved or authorized in the then-current Budget; (g) approve any capital expenditure or operating expense not provided for in the then-current Budget; (h) appoint or remove the Corporation's auditors or make any changes in the accounting methods or policies of the Corporation (other than as required by GAAP); (i) enter into, amend, waive or terminate any agreement, arrangement or understanding (including with respect to any loan or advance of funds) between the Corporation and any Member or any affiliate of a Member or any officer or employee of the Corporation; (j) enter into or effect any transaction or series of related transactions involving the purchase, lease, license, exchange or other acquisition (including by merger, consolidation, acquisition of stock or acquisition of assets) by the Corporation or any assets and/or equity interests of any person; (k) enter into or effect any transaction or series of related transactions involving the sale, lease, license, exchange or other disposition (including by merger, consolidation, sale of stock or sale of assets) by the Corporation of any material assets; (l) establish a subsidiary or enter into any joint venture or similar business arrangements; (m) settle any lawsuit, action, dispute or other proceeding or otherwise assume any liability with a value in excess of $1,000,000 or agree to the provision of any equitable relief by the Corporation; (n) make any investments in any other person; (o) make a grant or cash distribution prior to dissolution to an organization described in Section 50l(c)(3) of the Code; (p) dissolve the Corporation; (q) approve the Budget; and (r) enter into any commitment to undertake any of the foregoing.
