“Alpfa, inc has two classes of members, designated as general members and student members. All members shall be natural persons and, except for student members, shall be at least 18 years of age. General members shall have the right to attend all member meetings and the right to vote, as set forth in these bylaws, on the election of directors, at large directors, disposition of all or substanitally all of the assets of the organization, on any merger and its principal terms and any material amendment of those terms, on any election to dissolve the organization and on all other matters submitted to a vote of the members whether or not required by law.”

“The organization's members elect its governing body. The voting members include the general members. The chairman, the vice chairman, treasurer and the secretary are elected to the board by the general membership.”

“The form 990 is reviewed by management and the audit commmitee, then the form 990 is made available for review to all members of the governing body prior to submission.”

“The board of trustees meets regularly to review and monitor the organization's activities. All board members are covered by the conflict of interest policy. Board members shall submit a signed conflict of interest disclosure annually to the board. If a conflict arises, the member with a conflict of interest will recuse themselves from the decision making process and voting on transactions. There have been no incidences of any conflict in 2022.”

“Compensation and merit increase recommendations by management are reviewed by the hr committee, which performs market comps and that final approval of compensation is approved by the board as part of the annual budget approval. This process is documented and was last done in december 2022 for the ceo, cfo, and coo.”

“All governing documents are available for viewing on the organization's website. Policies and financial statements are available upon request.”

“Alpfa, inc. (the "association") is transitioning its charitable activities to its related party alpfa foundation, inc. (the "foundation"). This strategic decision to operate charitable activities primarily out of the foundation was approved by the board of directors in september 2022. Therefore, starting late 2022, programs and scholarships has decreased in the association.”
