Financial Statement Notes

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The trust funding the plan obtained its latest exemption letter on february 12, 2007, in which the internal revenue service (irs) stated that the trust is tax-exempt under the provision of section 501(c)(9) of the code as a voluntary employee beneficiary association. The plan and trust are required to operate in conformity with the code to maintain the tax-exempt status of the trust. The plan has been amended since receiving the exemption letter. Plan management and the company believe that the plan is currently designed and being operated in compliance with the applicable requirements of the code. Therefore, no provision for income taxes has been included in the plan's financial statements. Accounting principles generally accepted in the united states require plan management to evaluate uncertain tax positions taken by the plan. The financial statement effects of a tax position are recognized when the position is more likely than not, based on the technical merits, to be sustained upon examination by the irs. The plan administrator has analyzed the tax positions taken by the plan, and has concluded that as of december 31, 2024 and 2023, there were no uncertain positions taken or expected to be taken. The plan has recognized no interest or penalties related to uncertain tax positions. The plan is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE TRUST FUNDING THE PLAN OBTAINED ITS LATEST EXEMPTION LETTER ON FEBRUARY 12, 2007, IN WHICH THE INTERNAL REVENUE SERVICE (IRS) STATED THAT THE TRUST IS TAX-EXEMPT UNDER THE PROVISION OF SECTION 501(C)(9) OF THE CODE AS A VOLUNTARY EMPLOYEE BENEFICIARY ASSOCIATION. THE PLAN AND TRUST ARE REQUIRED TO OPERATE IN CONFORMITY WITH THE CODE TO MAINTAIN THE TAX-EXEMPT STATUS OF THE TRUST. THE PLAN HAS BEEN AMENDED SINCE RECEIVING THE EXEMPTION LETTER. PLAN MANAGEMENT AND THE COMPANY BELIEVE THAT THE PLAN IS CURRENTLY DESIGNED AND BEING OPERATED IN COMPLIANCE WITH THE APPLICABLE REQUIREMENTS OF THE CODE. THEREFORE, NO PROVISION FOR INCOME TAXES HAS BEEN INCLUDED IN THE PLAN'S FINANCIAL STATEMENTS. ACCOUNTING PRINCIPLES GENERALLY ACCEPTED IN THE UNITED STATES REQUIRE PLAN MANAGEMENT TO EVALUATE UNCERTAIN TAX POSITIONS TAKEN BY THE PLAN. THE FINANCIAL STATEMENT EFFECTS OF A TAX POSITION ARE RECOGNIZED WHEN THE POSITION IS MORE LIKELY THAN NOT, BASED ON THE TECHNICAL MERITS, TO BE SUSTAINED UPON EXAMINATION BY THE IRS. THE PLAN ADMINISTRATOR HAS ANALYZED THE TAX POSITIONS TAKEN BY THE PLAN, AND HAS CONCLUDED THAT AS OF DECEMBER 31, 2024 AND 2023, THERE WERE NO UNCERTAIN POSITIONS TAKEN OR EXPECTED TO BE TAKEN. THE PLAN HAS RECOGNIZED NO INTEREST OR PENALTIES RELATED TO UNCERTAIN TAX POSITIONS.
