Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is scanned and e-mailed to each trustee on receipt. A hard copy is also delivered to the finance committee members, by hand or federal express, to ensure receipt. A review of the return is scheduled with finance committee members and key staff (general director, general manager) before the tax return is filed; the review may be conducted by conference call. All board members are encouraged to join in and raise questions. Any issues brought up at that meeting and their resolution are reported to the full board during discussion of the return.

Form 990, Part VI, Section B, Line 12C

The symphony's conflict of interest policy is distributed to the board members once each year, or when they join the board if they have missed the annual distribution, and a signed copy is collected from each member, which is kept in the general manager's board files. Board members are required to report to the general manager any activity or relationship that might constitute or give rise to a conflict as defined by the policy. Any such activity or relationship is subsequently reported to and reviewed either by the audit committee (which currently serves as our personnel committee for any unresolved grievances), or by the full board.

Form 990, Part VI, Section B, Line 15A

The compensation of the general director is determined by an ad hoc board committee made up of the board chair and other board members. The committee reviews executive compensation using guidestar, and 990s from comparable nonprofits, taking into account the comparable market rates in the local geographic area. The compensation is voted on and approved at the board meeting in closed session; the process is recorded in the minutes, and a memo notating the results is included in the general director's personnel files. Most recently, the general director's compensations were reviewed in october 29, 2020.

Financial Statement Notes

PART V, LINE 4:

The symphony needs the liquidity to be able to draw approximately 5% of the principal annually to supplement the operating budget. The goal of the spending policy is to apply a disciplined and reasoned approach to moving money from the endowment fund to its beneficiary on a predictable, consistent basis. The current spending policy is based on the payout rate multiplied by the average market value of the fund over the previous 12 quarters. A 2-7% range will be in place to allow for board discretion during particularly volatile periods. Notwithstanding these spending parameters, the original corpus shall not be invaded except as provided within the specific donor terms for the $1 million gift as described above. Any changes to the endowment's spending policy shall be recommended by the investment committee and/or investment advisors, with ultimate approval by the board of trustees.

PART X, LINE 2:

Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by the symphony in its federal and state exempt organization tax returns are more-likely-than-not to be sustained upon examination. The symphony files information returns in the u.s. Federal jurisdiction and state of california. The symphony's federal returns for the tax years ended june 30, 2017 and beyond remain subject to possible examination by the internal revenue service. The symphony's california returns for the tax years ended june 30, 2016 and beyond remain subject to possible examination by the franchise tax board.

THE TWO OPENING CONCERT SETS IN OCTOBER WERE HIGHLIGHTED BY A LOCAL PREMIERE (KODALY'S ENGAGING PEACOCK VARIATIONS) AND A LONG-AWAITED SSV COMMISSION BY WORLD MUSICIAN DAVID AMRAM. A DOUBLE CONCERTO FOR VIOLIN AND CELLO, IT WAS WRITTEN IN TRIBUTE TO SIX MUSICIANS WHO GREATLY INFLUENCED AMRAM'S OWN LIFE WORK, INCLUDING WOODY GUTHRIE, BILLIE HOLLIDAY, AND AFRO-CUBAN MASTER MACHITO GRILLO. THE SYMPHONY'S THIRD PROGRAM, IN DECEMBER, WAS ANCHORED BY KHACHATURIAN'S EXPRESSIVE PIANO CONCERTO PERFORMED TO AUDIENCE CHEERS BY FIERY ARMENIAN PIANIST NAREH ARGHMANYAN. SSV'S JANUARY SUBSCRIPTION PROGRAM WAS DESIGNED AS AN EXPERIMENT IN AUDIENCE-BUILDING, ADDRESSING BOTH CLASSICS LOVERS AND FANS OF SSV'S SUCCESSFUL FILMS-WITH-ORCHESTRA. A PROMISING NUMBER OF THOSE FANS JOINED THE CLASSICS AUDIENCE FOR THE FILM THE RED VIOLIN WITH SOLOIST LARA ST. JOHN LEADING THE FULL ORCHESTRA IN ITS FAMED SCORE. SSV'S NEXT CONCERT SEASON WILL REPEAT THE EXPERIMENT WITH THE FILM AMADEUS, IMMERSING AUDIENCES IN MOZART'S SHORT LIFE AND IMMORTAL MUSIC. SSV CONTINUES TO CULTIVATE ITS ROSTER OF OUTSTANDING GUEST CONDUCTORS. THE SEPTEMBER AND DECEMBER CONCERTS WERE LED BY MAESTROS CARLOS VIEU, A REGULAR GUEST FROM ARGENTINA, AND PIETRO RIZZO FROM ITALY IN HIS FIRST APPEARANCE WITH SSV. LATE OCTOBER FEATURED RENOWNED MAESTRA JOANN FALLETTA IN HER SECOND PROGRAM WITH SSV. (A THIRD WAS PLANNED FOR FY21). FALLETTA INTRODUCED LISTENERS TO THE WORK OF NOTED 20TH CENTURY COMPOSER NADIA BOULANGER; WHILE BRAHMS, RACHMANINOFF AND TCHAIKOVSKY COMPLETED THE THREE PROGRAMS.EACH YEAR SYMPHONY SILICON VALLEY'S FILM-WITH-ORCHESTRA SERIES ATTRACTS YOUNG, DIVERSE, AND EXUBERANT AUDIENCES TO POPULAR FILMS SHOWN ON OVER-SIZED SCREENS, WITH THEIR HIGH-PROFILE SCORES PERFORMED BY THE FULL SYMPHONY ORCHESTRA. THESE CONCERTS INTRODUCE THEIR AUDIENCES TO THE MAGIC OF LIVE ORCHESTRA PERFORMANCE IN A WELCOMING SETTING. THEY ARE EXTENDING SSV'S SERVICES DEEPER INTO THE COMMUNITY, WHILE EXPANDING EMPLOYMENT FOR THE SYMPHONY MUSICIANS.THREE HARRY POTTER FILMS WERE SCHEDULED FOR FY19-20, A FLOURISH TO CLOSE SSV'S PRESENTATION OF THE EIGHT-FILM SERIES. THE FINAL TWO OF THESE, PLANNED FOR LATE FEBRUARY AND APRIL, TELL A SINGLE CLIMACTIC STORY. LATE SALES HAD REPEATEDLY PEAKED FOR THE SIX EARLIER FILMS; BUT FEBRUARY SALES FOR THE UPCOMING CONCERTS DROPPED ABRUPTLY AS CONCERN ABOUT THE PANDEMIC SPREAD. THE CLOSING FILM OF THE HARRY POTTER SERIES WAS FINALLY POSTPONED FROM APRIL 2020 TO AN INDETERMINATE FUTURE DATE.BY OCTOBER 2019, ARTSPARK, SSV'S FREE AND LIVELY IN-THEATER EDUCATION CONCERT SERIES, WAS FULLY BOOKED FOR 4,000 FOURTH GRADERS. THE MAJORITY OF ITS PARTICIPATING SCHOOLS ARE TITLE ONE, WITH 70% OF THE STUDENTS ON FREE LUNCH PROGRAMS; AND AN ESSENTIAL ARTSPARK COMPONENT IS FREE BUSSING FOR EVERY CLASSROOM. IN COLLABORATION WITH THE COUNTY OFFICE OF EDUCATION, IN 2018-19 THE IN-CLASS MATERIALS WERE REDESIGNED TO INTEGRATE MUSIC MORE FULLY INTO THE FOURTH- GRADE CURRICULUM. THEY WERE AN IMMEDIATE SUCCESS, ENGAGING BOTH TEACHERS AND STUDENTS.
