Governance Explanations

Part VI, Line 4

The bylaws were revised to align with the revised American Library Association ALA bylaws approved by the ALA membership in Spring 2023. During the 2023 fiscal year the ALA Constitution and Bylaws were rewritten to reflect changes to the ALA governance structure; certain sections of the ALA Constitution were moved to the Bylaws to create one core governing document to represent a flexible and modern association. Some of the significant revisions included: 1 change in role and composition of Council 2 change in composition of the Executive Board and 3 incorporation of the parliamentarians recommendations pursuant to best practices.

The ALA Allied Professional Association Inc is controlled by the American Library Association the Association. Form 990 for the Association is prepared by the Associations independent accountant and reviewed by the Associations internal staff. Form 990 for the ALA Allied Professional Association Inc is prepared by the Associations internal staff. An electronic copy of the Form 990 is provided to the Executive Committee prior to filing.

Part VI, Line 12C

Board members are required to sign and submit a conflict of interest policy on an annual basis. All American Library Association employees including key employees are required to sign a conflict of interest statement upon employment and are bound by the terms of the policy.

Part VI, Line 15

The compensation levels for the American Library Associations Executive Director key employees and all other staff are approved by the American Library Associations Executive Board during the annual budget process. The American Library Associations Executive Director has a written employment contract. Changes in compensation levels are based on performance. As considered necessary compensation levels are compared to other comparable organizations through a review of Form 990 filings and compensation surveys studies.

The organization makes its governing documents available online via its website. Form 990 audited financial statements and the conflict of interest policy are available to the public upon written request.

The ALA APA is exempt under Section 501c6 of the IRC. Section 501c6 organizations are taxed only on income classified as unrelated business income. The ALA APA did not have any unrelated business income for the years ended August 31 2024 or 2023. Unrelated business income is taxed in accordance with federal and state income tax regulations. The tax years ended 2021 2022 and 2023 are still open to audit for both federal and state purposes. Based on the evaluation of the ALA APAs tax positions management believes all positions taken would be upheld under an examination; therefore no provision for the effects of uncertain tax positions has been recorded for the years ended August 31 2024 or 2023.
