Form 990, Part VI, Section B, Line 12C

Conflict of interests and related party transactions. Section 1: disclosures and general procedures regarding conflicts of interests. (a) whenever any circumstance occurs involving the organization, or any board or committee action is being considered, discussed or voted upon at a board or committee meeting, all directors (and key employees, if any) shall disclose any relevant interest which may pose conflict of interest questions. The disclosure shall relate to any transaction, agreement or any other arrangement for compensation or other remuneration between the organization and an entity or person in which the director (or key employee, if any) or related party with respect to such director (or key employee, if any) has any interest, financial or otherwise (herein referred to as a "conflict of interest.") if a conflict of interest is being discussed, considered or voted upon at a board or committee meeting, the director (or key employee, if any) who is a related party may not be present during the discussion, deliberation or vote on such matter. The above disclosure by the director (or key employee, if any) must also be made in writing, which may be made by email, to all members of the board and a record of such disclosure and the existence and resolution of the conflict of interest shall be kept in the permanent records of the organization, including the minutes of any meeting at which the conflict of interest was considered, discussed or voted upon. In no event may the director (or key employee, if any) involved in a conflict of interest make any attempt to improperly influence the deliberation or voting on the matter giving rise to the conflict interest. For purposes of clarification, the provisions of section 1 also apply to all officers of the organization. As all officers of the organization are also directors, their disclosures under this section 1 will be deemed to fulfill their obligations with respect to both positions. Qualifications for the job of surgical coordinator are: understanding of medical terminology and procedures, knowledge of various facial surgeries required, at least 10 years experience working with a plastic surgeon, ability to coordinate doctors, hospitals, patients and internal staff, close relationships with hospital staff where the surgeries take place; ability to get services donated. Section 2: disclosure statement form. In addition to the disclosure requirements and procedures set forth in section 1, immediately prior to his initial election or appointment to the board and at each annual meeting thereafter each director must complete a disclosure statement form identifying (i) to the best of the director's knowledge, any entity of which such director is an officer, director, trustee, member, owner (either as a sole proprietor or a partner), or employee and with which the organization has a relationship and (ii) any transaction in which the organization is a participant and in which the director may present a conflict of interest. The disclosure statement form shall be submitted to the secretary who will provide a copy of same to the chairman of the board. Section 3: related party transactions. The organization may not enter into a related party transaction unless such transaction is determined by the board to be fair, reasonable and in the organization's best interest at the time of such determination. Any director/officer (or key employee, if any) who has an interest in a related party transaction shall disclose in good faith pursuant to the procedures set for the in section 1 to the board, or an authorized committee thereof, the material facts concerning such interest. With respect to any related party transaction in which a related party has a substantial financial interest, the board, or an authorized committee thereof, shall, in accordance with the procedures set forth in section 1: (1) prior to entering into such transaction, consider alternative transactions to the extent available; (

(SEE SCHEDULE O FOR CONTINUATION).THE FOUNDATION'S PRIMARY FOCUSES ARE CORRECTIVE SURGERY FOR INFANTS AND CHILDREN, SUPPORT SERVICES FOR FAMILIES, EDUCATION FOR MEDICAL PRACTITIONERS AND THE GENERAL PUBLIC, AND SUPPORT FOR RELATED MEDICAL RESEARCH.PHYSICIANS SPECIFICALLY TRAINED IN CORRECTIVE FACIAL SURGERY DONATE THEIR TIME TO THE FOUNDATION TO PERFORM THE NEEDED PROCEDURES. THE COST OF SURGICAL SUPPLIES AND EQUIPMENT, AS WELL AS LIVING ACCOMMODATIONS AND MEALS FOR THE PATIENTS AND THEIR FAMILIES DURING THE PERIOD OF THE SURGERY AND RECUPERATION ARE PAID FOR BY THE FOUNDATION
