Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee consists of the chair, vice-chair, secretary, and treasurer of the board and one chair from each of the standing committees (development/membership, finance, nominating/governance, government affairs, education/community engagement, diversity/equity/inclusion/belonging, and investment) the immediate past board chair, and two at-large members. The chair of the board serves as the chair of the executive committee. With the exception of changes to the bylaws, the executive committee is specifically delegated the authority of the board to act on behalf of the board on matters requiring board action between regularly scheduled board meetings. The executive committee maintains regular minutes of all such actions and on other proceedings and reports the same to the board of directors at each regular meeting of the board.

Form 990, Part VI, Section B, Line 11B

The board of directors has delegated the authority to review and approve the form 990 to the finance committee. The finance committee receives the final draft form 990 package via email. Members conduct their reviews of the material independently and ask questions of management as needed. Once all necessary feedback is received and committee member questions have been answered, management seeks an approval vote via email. Once at least a super majority of members have registered their approval vote, the form 990 is filed. This process is begun in advance of the return deadlines to ensure ample time is provided.

Form 990, Part VI, Section B, Line 12C

The members of the board of directors are required to submit a conflict of interest and relationship disclosure statement annually. During the course of the year, in the event that an officer or director determines that they have a conflict of interest on a particular matter before the board, they shall disclose the conflict to the board of directors. The officer or director would then be prohibited from participating in discussion and voting on the matter at hand, unless a majority of the disinterested directors present determines otherwise.

The board of directors has remanded the ceo's annual review process to the executive committee. In addition to reviewing the ceo's performance, the executive committee also reviews the compensation of the ceo. The committee uses executive compensation data from several reputable compensation surveys, and uses the services of an independent compensation consultant to assist in research and information gathering. Contemporaneous records of the deliberation and review process are kept and have been retained by the chair.

The grant park orchestral association (the association), produces the grant park music festival, a chicago summer tradition providing free high-quality classical music performances featuring the grant park orchestra and chorus, to hundreds of thousands of residents and visitors annually. For over 90 years, the festival has been a cornerstone of the city's cultural landscape, demonstrating the transformative power of classical music and fostering a sense of community by connecting people from all walks of life through a shared musical experience in the spectacular setting of the jay pritzker pavilion in millennium park. The association's mission extends beyond performance to education and community engagement, nurturing the next generation of musicians and music lovers.

Financial Statement Notes

PART X, LINE 2:

The association has received notification that it qualifies as a tax-exempt organization under section 501 (c)(3) of the u.s. Internal revenue code and corresponding provisions of state law and, accordingly, is not subject to federal or state income taxes. The association follows the accounting standards for contingencies in evaluating uncertain tax positions. The guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. No liability has been recognized by the association for uncertain tax positions as of december 31, 2024 and 2023. The association's tax returns are subject to review and examination by federal and state authorities.

OVER 10 WEEKS, AN ESTIMATED 227,500 RESIDENTS AND SUMMER VISITORS EXPERIENCED THE FESTIVAL'S FREE SYMPHONIC AND CHORAL CONCERTS IN MILLENNIUM PARK. FOUNDED TO SERVE AS "THE PEOPLE'S ORCHESTRA OF CHICAGO," THE FESTIVAL SUCCESSFULLY ENGAGED AUDIENCES OF ALL AGES AND SOCIOECONOMIC BACKGROUNDS. AN AVERAGE 39% OF CONCERTGOERS WERE UNDER AGE 45; 31% IDENTIFIED AS NON-WHITE; AND 12% REPORTED HOUSEHOLD INCOMES OF $50,000 OR BELOW.
