“The ohio osteopathic association is a membership organization of osteopathic physicians in ohio divided into district academies. Membership consists of the following: 1,045 physicians; 1,450 interns & residents; and 1,016 students for a total membership of 3,511. Any regular member is entitled to serve on the organization's board of trustees. Each district elects one trustee to serve on the association's board of trustees. Each district, on the basis of number of members in that district, elects representatives to participate in an annual house of delegates. The officers of the board of trustees are elected by the delegates during the annual meeting of the association.”

“Regular members, who include practicing physicians, retired physicians, and reduced dues members as well as life members are eligible to serve as elected representatives of their districts at the association's annual meeting. All members have a right to vote for the trustees who represents their district, regardless of whether they serve in the house of delegates or not.”

“The association's board of trustees and executive committee have the authority to make decisions in between meetings of the house of delegates. The house of delegates is the major policy making body of the association, composed of members who are elected to serve. Any member can challenge a decision of the board of trustees by invoking proceedings calling for a special meeting of the house of delegates. The board is also sensitive to the needs of the members and will seek approval of the house for significant decisions for non-time sensitive issues which have a significant impact on the future of the association.”

“The director of accounting and executive director review the 990 prior to its filing with the irs and make inquiries of the preparer. Subsequently, a copy of the form 990 and form 990-t is emailed to the board members for their review. The forms are furnished to anyone, upon request, who wishes to review them.”

“The association requires that its officers, trustees, and key employees annually disclose any conflict of interest thereby monitoring compliance.”

“The procedure for determining compensation of the association's executive director includes review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberation and decision by the governing body. In addition, the association also reviews the form 990 of other organizations. Finally, the executive director has a written employment contract. The organization does not have any other employees who are either officers or key employees. If it did, the process described above would be used.”
