Governance Explanations

Form 990, Part VI, Section A, Line 6

1. Active membership: any individual licensed agent or corporate licensed agency appointed by an insurance company licensed to operate in the state of ohio. 2. Associate membership: associate membership shall be available to individuals, firms or companies who are directly or indirectly associated with the insurance industry but are not eligible for active membership. 3. Retired membership: any retired individual who, prior to leaving the insurance industry, was an active or associate member. 4. Honorary membership: honorary membership shall be extended to those persons who, in the opinion of the board of directors, are fitted for such membership.

Active and associate members only shall be entitled to vote at any meeting of the association. The use of proxy votes will be recognized at special or annual meetings of the association. The organization's members elect the directors of the association.

Position that board has been following in handling ceo compensation: 1. Compensation negotiations were delegated to the executive committee as the board was too large a body to perform the evaluation and negotiate compensation. The executive committee has more experience and a better understanding of the ceo and association's performance. 2. The services board also has a fiduciary duty and has a representative involved in the process. 3. The executive committee recommends the ceo compensation to the board. The compensation was within the ranges of compensation studies conducted by asae and others. 4. The board approves the budget which contains total staff compensation. 5. Any board member wanting additional information on ceo compensation is entitled to the information and should request the information from the ceo or president.

All governing documents, the conflict of interest policy, and the financial statements are available to the public at the piaa office during normal business hours. The policies are monitored by the board and executive staff, or by those staff who are directly responsible for the policies. The conflict of interest policy is an annual requirement of the board. Piaa staff is responsible for maintaining and enforcing the expense reimbursement policies, through an annual budgeted amount set forth by the board. The record retention is handled by staff under consultation of legal counsel.

Endowment funds are used only for scholarship, legal and political expenses.

PART X, LINE 2:

The fasb accounting standard for accounting for uncertainty in income taxes provides guidance for the financial statement recognition, measurement and disclosure of uncertain tax positions recognized in an organization's financial statements. Under this guidance, income tax positions must meet a more-likely-than-not recognition threshold at the effective date to be recognized upon the adoption of the standard. The organization did not have any unrecognized tax benefits, at december 31, 2014 and 2013. When necessary, the organization would accrue penalties and interest related to unrecognized tax benefits as a component of income tax expense.
