The Foundation accounts for uncertain tax positions in accordance with the provisions of Financial Accounting Standards Board ("FASB") Codification topic 740 Income Taxes. Income Taxes clarifies the accounting for uncertainty in income taxes and requires the Foundation to recognize in their financial statements the impact of a tax position taken or expected to be taken in a tax return, if that position is more likely than not to be sustained under audit, based on the technical merits of the position. Management has assessed the tax positions of the Foundation and determined that no positions exist that require adjustment or disclosure in the financial statements. The Foundation is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The Foundation believes it is no longer subject to income tax examinations for years prior to 2009.

These four trustees must be from different IAAP districts. Two trustees are elected each year to serve for a term of two years. No trustee can serve more than two consecutive two-year terms. The president and treasurer of the IAAP shall each serve as a member of the board of trustees during their respective terms. Any vacancies in the board of trustees for any reason are filled by the board of trustees and any trustees so chosen hold office for the balance of any unexpired term.

The current agreement expires in March 2013. In addition, the International Association of Administrative Professionals (IAAP), an affiliated organization, provides facilities and personnel to the organization under a written Management and Administrative Services Agreement. The Agreement is for a period of 2 years and is cancellable by either party with 180 days notice. Under the terms of the agreement, the organization will pay IAAP a management fee based on actual direct and indirect expenses incurred in performance of the Agreement, plus an overhead charge of 10%. Any services provided by IAAP that are not specified in the Agreement are charged at an hourly rate of $40 per hour , plus 10% overhead.

The board reviews all annual representations. In addition, at each monthly board meeting, an update of any outstanding conflicts, or possible conflicts that were identified at prior meetings, and any new conflicts that may have arisen since the last meeting, are addressed. A potentially conflicted member may make a presentation at a board meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict or interest. The board shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board or committee shall determine whether RTF can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances that do not produce a conflict of interest, the board or committee shall determine by a mojority vote of the disinterested directors whether the transaction or arrangement is in RTF's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter the transaction or arrangement. If the board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.
