“NYWSMC was a membership corporation, whose members were appointed by New York Presbyterian Healthcare System, Inc. ("System, Inc."). System Inc. is a tax-exempt organization whose members are appointed by New York Presbyterian Foundation, Inc. ("Foundation, Inc."), which is also a tax-exempt organization. The members of the organization elect the organization's board of trustees. The membership terminated at the end of 2013.”

“The NYWSMC's members elected the medical center's board of directors when it was in operation.”

“The NYWSMC's members approved decisions of the governing body when it was in operation.”

“The 2014 IRS 990 will be reviewed by the CFO along with the bankruptcy council prior to filing.”

“When the entity was in operation, upon election to be a board member, the member's background is checked for potential or business conflicts. All pre-existing members' backgrounds are verified on an annual basis.”

“The medical center performed compensation studies of comparable job titles within the greater New York metropolitan area when it was in operation.”

“The medical center makes its governing documents and Conflicts of Interest policy available upon request. The medical center makes its financial statements available on Guidestar.”

“All medical services ceased on March 22, 2013. The bankruptcy court dismissed the Chapter 11 case on December 10, 2014.”

“Collection Services”

“On December 10, 2014 the Chapter 11 case was dismissed by the bankruptcy court. Remaining cash was distributed to creditors on December 18, 2014 and in January 2015. A further distribution is expected to be processed by December 31, 2015.”
