The finance team at precious moments company, inc. Sends a draft of the 990 to all board members. Once approval is received from the board the finance team gives accounting firm the ok to process the return.

Form 990, Part VI, Section B, Line 12C

The successful business operation and reputation of precious moments is built upon the principles of fair dealing and ethical conduct of our employees. Our reputation for integrity and excellence requires careful observance of the spirit and letter of all applicable laws and regulations, as well as scrupulous regard for the highest standards of conduct and personal integrity. The continued success of precious moments is dependent upon our customers' trust and we are dedicated to preserving that trust. Employees and board members owe a duty to pm, its customers and shareholders to act in a way that will merit the continued trust and confidence of the public. Business dealings that appear to create a conflict between the interests of the company and an employee or board member are unacceptable. The company recognizes the right of employees or board members to engage in activities outside of their service which are of a private nature and unrelated to our business. However, the employee or board member must disclose any possible conflicts so that the company may assess and prevent conflicts of interest from arising. A potential or actual conflict of interest occurs whenever an employee or board member is in a position to influence a decision that may result in personal gain for the employee or board member or an immediate family member as a result of the company's business dealings. No employee or board member may solicit or accept gifts of significant value (i.e., in excess of $50), lavish entertainment or other benefits from potential or actual customers, suppliers or competitors. Should the value of an offered gift exceed $50, please disclose the information to the chief executive officer or the chief financial officer for review. Often those gifts, such as tickets to sporting events, concerts, etc., will be allowed, upon disclosure. However, special care must be taken to avoid even the impression of a conflict of interest. The exception to this policy would be for such gifts to be held in trust for the general employee population to be used as awards or gifts for employee prize drawings. All precious moments employees and must be aware that precious moments retains legal ownership of the product of their work. No work product created while employed by precious moments can be claimed, construed, or presented as property of the individual, even after employment by precious moments has been terminated or the relevant project completed. This includes written and electronic documents, audio and video recordings, system code, and also any concepts, ideas, or other intellectual property developed for precious moments, regardless of whether the intellectual property is actually used by precious moments. Although it is acceptable for an employee to display and/or discuss a portion or the whole of certain work product as an example in certain situations (e.g., on a resume, in a freelancer's meeting with a prospective client), one must bear in mind that information classified as confidential must remain so even after the end of employment, and that supplying certain other entities with certain types of information may constitute a conflict of interest. In any event, it must always be made clear that work product is the sole and exclusive property of precious moments. Pm will comply with all applicable laws and regulations and expects its directors, officers, employees, and board members to conduct business in accordance with the letter, spirit and intent of all relevant laws and to refrain from any illegal, dishonest or unethical conduct. In general, the use of good judgment, based on high ethical principles, will guide you with respect to lines of acceptable conduct. If a situation arises where it is difficult to determine the proper course of action or if it has the appearance of a conflict of interest, the matter should be discussed openly with a representative of the human resources department and / or with an officer of the company
