The organization is a title holding subsidiary of its sole member, the new york eye and ear infirmary. The following powers are reserved exclusively to the infirmary, and no attempted exercise of any such power by anyone other than the infirmary shall be valid or of any force or effect whatsoever: (a) any dissolution, liquidation, merger, consolidation, sale, conveyance or transfer of all or any significant portion of the assets of the nyeei housing co.; (b) any amendment to the nyeei housing company's certificate of incorporation or bylaws, or any arrangement or agreement which would change, alter or impact on the infirmary's role as the sole member of the nyeei housing co. Or would cede membership decisions for the nyeei housing co. To a person or entity other than the infirmary; (c) any act which results in the nyeei housing co. Ceasing to hold real property for the purpose of providing housing for the infirmary's staff; (d) any act which results in any mortgage or encumbrance of any kind of nature being placed on any of the nyeei housing co.'s assets; or (e) any act or acts which results in the nyeei housing co. Assuming indebtedness in an amount equal to or greater than $500,000.

TO EFFECT ITS CHARITABLE PURPOSE OF SUPPORTING THE INFIRMARY, THE CORPORATION HOLDS TITLE TO CERTAIN REAL ESTATE PROPERTY USED TO PROVIDE HOUSING AND AUXILIARY FACILITIES FOR THE INFIRMARY'S STAFF, COLLECTS ANY AND ALL INCOME THEREFROM AND REMITS THE ENTIRE AMOUNT THEREOF, LESS EXPENSES, TO THE INFIRMARY.
