“The School does not have any committees with authority to act on behalf of the Board. All committee decisions are sent for approval by the Board and documented within the Board minutes.”

“Trustees and Honorary Consultants are expected to act at all times in the best interest of the School and in accordance with the mission of the School.Each Trustee or Honorary Consultant is required to read the conflict of interest policy and sign a written confirmation stating that they agree to the terms within the conflict of interest policy.If at any time, a Trustee or Honorary Consultant becomes aware that the Board may discuss or act upon a transaction which may have bearing on their private or financial interest, such person is required to disclose their private or financial interest to the Board as follows:A) The Trustee or Honorary Consultant shall provide a written disclosure describing the nature and extent of the conflict prior to any discussion or action by the Board.B) If written disclosure cannot be provided in advance, the Trustee or Honorary Consultant shall verbally inform the Board immediately. The Trustee must then provide written disclosure to the Board at the soonest time thereafter.When a Trustee or Honorary Consultant discloses a conflict with respect to a proposed transaction or arrangement to be discussed, the Trustee or Honorary Consultant may voluntarily recuse themselves from discussion or action by the Board.If it is determined at any time that a Trustee or Honorary Consultant has negligently or intentionally failed to disclose a private or financial interest to the Board, an Ad Hoc Committee will be created to discuss imposition of sanctions to the Trustee or Honorary Consultant.”

“The Head of the School is generally (and currently) under a multi-year contract with the School that includes a salary provision. The salary reflected in that contract is approved, and the current contract was approved, by the entire Board of Trustees following a recommendation by the Executive Committee of the Board of Trustees. In addition, the Executive Committee reviews the Head of School's compensation each year to determine (A) whether to award the Head of School a compensation bonus (B) whether to offer the Head of School a new contract to supersede the existing contract, or replace an expiring contract, at a new salary level. Based on this review, the Executive Committee makes a recommendation to the full Board and the full Board approves all compensation arrangements with the Head of School, including any changes to the Head of School's salary and any bonuses awarded to the Head of School.The Board's Finance Committee reviews all salaries for the Finance Director and all other members of the administration team with the Head of School during the budgeting process.”

“The School makes its Form 1023, 990, and governing documents available to the public upon request at the Head of School's office.”

“There is a committee in place to assume responsibility and provide oversight in the audit of its financial statements.”
