Governance Explanations

Form 990, Part VI, Section A, Line 4

2.1 the board shall have a nominating committee consisting of at least three (3) board members and the immediate past chair of the board. 2.2 the nominating committee shall be responsible for recommending new board members when vacancies occur. Any sitting member of the governing board, advisory board or the imi executive director may suggest an individual to serve on the governing board. 2.3 individuals nominated to the governing board will be interviewed by at least two members of the nominating committee and the imi executive director to determine their willingness to serve and suitability for the position. 2.4 any potential new board member will be presented to the board by the nominating committee and elected by majority vote of the board. 2.4 the nominating committee shall present a slate of officers to replace any whose terms have expired at the annual meeting of the board of directors. Additional nominations may be made at that meeting. Officers will be elected by majority vote of the board. 3.1 board members will serve three (3) year terms and may be reappointed for a total of four (4) three (3) consecutive three (3) year terms. 3.2 a governing board member who has previously served may be re-appointed to the governing board if they have been off the board for at least one (1) year, if recommended by the nominating committee.
