Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws were amended in august 2023 with the following significant changes: directors will be appointed for a two-year term on a staggered appointed basis. Directors shall be appointed by the international executive board of alpha phi international fraternity ("ieb") (the "appointed directors"). The appointed directors shall be appointed for a two-year term. No more than 50% of the board directors may also serve on ieb concurrently. The executive director and her designee, and the ieb international president or her designee shall also serve as non-voting members of the board. In the event that none of the appointed members are members of the ieb, then the international president or her designee may serve on the board as a nonvoting member. A current ieb director shall serve as the president to 1872 properties. They shall serve as a voting member.

The sole class a member of the corporation is alpha phi international fraternity incorporated. Other members for purposes of code section 501(c)(7) shall be those individuals, corporations, or other associations and organizations satisfying certain criteria of the board of directors.

The board of directors of the class a member has the ability to appoint the lawful and authorized representative of the class a member of the corporation. Other members have no voting rights.

The form 990 is prepared by a certified public accountant. The return is then forwarded to the outside accountant who confirms the correctness of the tax return. The tax returns are then sent to the board members for review and comment. After this process is satisfied, the return is filed.

Footnote in consolidated financial statements: accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and to recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by the organization, and has concluded that as of june 30, 2024 and 2023, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying consolidated financial statements. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
