Governance Explanations

Form 990, Part VI, Section A, Line 7A

The organization has seven voting members of the board of directors. The directors are composed of two ohio credit union league (ocul) directors elected by the ocul board and four at-large directors elected by the ocul board. The chair of the ocul board serves as an ex-officio member with no vote on the foundation board.

Form 990, Part VI, Section A, Line 7B

Limited governance authorities are reserved to the sponsoring organization, including: electing representatives to the board of directors and amending the code of regulations in such a way that restricts or removes the sponsoring organization's minority representation on the board of directors.

Form 990, Part VI, Section B, Line 11B

Form 990 is prepared by the cpa firm retained for audit/review and tax requirements annually. In preparing the 990 filing, the cpa firm works with plexcity staff and ocul management. Upon completion the form 990 is made available for review by the finance committee and the board of directors prior to filing by posting to the organization's online governance portal. In addition, the 990 filing is incorporated into the next scheduled meeting of the board of directors.

Form 990, Part VI, Section B, Line 12C

The board is verbally reminded of our conflict of interest policy at the beginning of each board meeting. This is the first item on the agenda. Board members are required to note whether they have a conflict with any meeting item then recuse themselves and leave the meeting until the item has been resolved.

Form 990, Part VI, Section C, Line 19

Audited/reviewed financials and irs form 990 are available to the public upon request, for the same period of time as set forth in internal revenue code section 6104(d). That information would be shared hard copy or digitally in a pdf format depending on the request received. Other materials are shared with the public as required by law.

Supplemental Narrative

Additional Explanations

Form 990, Part XII, Line 2C

Ohio credit union foundation has a committee that assumes responsibility for the oversight of the audit, review, or compilation of its financial statements and selection of an independent accountant. The process has not changed from the prior year.

Financial Statement Notes

PART X, LINE 2:

The foundation follows the accounting guidance on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the foundation may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained upon examination by tax authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the foundation and various positions related to the potential sources of unrelated business taxable income. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, as well as accounting in interim periods. As of december 31, 2024 and 2023, there were no unrecognized tax benefits identified or recorded as liabilities.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE FOUNDATION FOLLOWS THE ACCOUNTING GUIDANCE ON ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES, WHICH ADDRESSES THE DETERMINATION OF WHETHER TAX BENEFITS CLAIMED OR EXPECTED TO BE CLAIMED ON A TAX RETURN SHOULD BE RECORDED IN THE FINANCIAL STATEMENTS.
