“The membership of the Illinois Association of School Boards is comprised of the Board of Education of any legally organized school district in Illinois who applies and pays dues. The active member school boards are then divided into 21 geographic divisions. The Board of Directors of IASB consists of the following: -21 Directors elected from their respective divisions -The President and Vice-President as elected at the annual delegate assembly (each active member school district is entitled to one voting delegate) -The Immediate Past President -The President of the Chicago Board of Education or his/her designee when the Chicago Board of Education is an active member.”

“The Executive Committee of the Board consists of the President, Vice-President, Treasurer, Immediate Past President, and four other Directors elected by the Board from among its membership. Prior to the 990 being filed, the CPA hired by the Association to prepare the 990 reviewed the 990 with the members of the Executive Committee and the Executive Director. After the review process, a copy of the 990 was provided to the full Board.”

“IASB has a conflict of interest policy that: (1) Defines conflicts of interest; (2) Identifies classes of individuals within the IASB covered by the policy; (3) Facilitates disclosure of information that may help identify conflicts of interest; and (4) Specifies procedures to be followed in managing conflicts of interest. Persons covered by the policy annually disclose or update to the President on a form provided by the IASB their interests that could give rise to conflicts of interest, such as a list of family members, substantial business or investment holdings, and other transactions or affiliations with businesses and other organizations or those of family members. For each interest disclosed to the President, he or she shall assure full disclosure to the Board of Directors. The Board of Directors will determine whether to: (A) Take no action; (B) Ask the person to recuse from participation in related discussions or decision within the IASB; or (C) Ask the person to resign from his or her position in the IASB. The IASB's Executive Director will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the President in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occurred.”

“IASB has a process for determining compensation policy that applies to the compensation of IASB's Executive Director and key employees. The process includes the following elements: 1. Review and approval. The compensation of the Executive Director is reviewed and approved by the IASB Board of Directors. A compensation committee, managed by the Executive Director, reviews and approves compensation of key employees. Any person with a conflict of interest with respect to the compensation arrangement at issue shall not be involved in this review and approval. 2. Use of data as to comparable compensation. The compensation for employees covered by this policy is reviewed and approved using data as to comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations. 3. Contemporaneous documentation and recordkeeping. There is contemporaneous documentation and recordkeeping with respect to the deliberations and decisions regarding compensation arrangement for employees covered by this policy.”

“IASB's Constitution is on the Association's website and readily available to the public. IASB publishes an annual report of services and accomplishments which includes the financial statements, and this document is also posted on the website. The Constitutions, conflict of interest policy, and financial statements are also made available to the public upon request.”
