“Oano has three classes of members that make up its membership body. These three classes include nonprofit members, associate members, and individual members. The nonprofit members class consists of nonprofit organizations located in the state of ohio. The associates members class consists of for -profit companies that have an interest in the nonprofit sector. The individual members class consists of students and independent consultants that have an interst in the nonprofit sector.”

“Full members all have the right to vote, as set forth in the bylaws, on the disposition of all or substantially all of oano's assets and on any merger and its principal terms and any amendments of those terms.”

“The federal form 990 is provided to the board members for their approval, prior to filing. This is documented in the minutes.”

“Oano monitors and enforces the conflict of interest policy for all board members by reviewing the conflict of interest policy at the beginning of each board meeting. All board members are also required to complete and sign an annual conflict of interest disclosure statement at the annual meeting. The organization monitors and enforces the conflict of interest policy for all other staff by reviewing the policy during the staff members' annual review.”

“The organization determines the compensation package for the executive director through the use of comparability data and salary surveys annually. The executive committee reviews comparability data, which includes the united way/oano salary survey as well as compensation from the form 990 for other organizations.”

“The organization has no other officers or key employees. Therefore, there is no compensation review process for the organization's other officers and key employees.”

“The organization makes its governing documents, conflict of interest policy, and financial statments available to the public upon request.”

Oano's mission is to strengthen the effectiveness of ohio's nonprofit sector by offering programs and services to strenghten the leadership, governance and management capacity of nonprofit organizations; expand public awareness and understanding of the nonprofit organizations and provide access to affordable products and services including health insurance, pension plans, liabilty insurance and other group purchasing opportunities.”
