The finance committee reviews the 990 with the certified public accountant. It is then distributed to all members of the board.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is completed annually. Potential conflicts of interest are discussed at a meeting of the board and any individual with a conflict of interest must disclose and excuse themselves from any vote involving the matter in question. If at any time an interested person discloses or it is discovered to have a potential or actual conflict, the matter is handled in accordance with the conflict of interest policy.

Financial Statement Notes

PART III, LINE 4:

Fmh preserves the historic mighty wurlitzer organ for future generations and the organ is on display at music hall. Generally, fmh holds publicly available concerts for featuring the mighty wurlitzer organ; however during the current year no concerts were held due to the pandemic. In lieu of an in person concert, fmh broadcast a wurlitzer organ concert.

PART V, LINE 4:

To provide income in support of activities in preserving, promoting, improving and providing education about music hall and to fund special projects for the building maintenance, management and nonprofit tenant organization needs.

PART X, LINE 2:

Fmh is a not-for-profit entity exempt from federal income taxes under provisions of section 501(c)(3) of the internal revenue code. It has been determined that fmh is not a private foundation. Fmh has adopted accounting guidance, which requires that a tax position be recognized or derecognized based on a "more likely than not" threshold. This applies to positions taken or expected to be taken in a tax return. Fmh's income tax filings are subject to audit by various taxing authorities. Fmh believes it has appropriate support for any tax position taken and, therefore, does not have any uncertain income tax positions that are material to the financial statements. Fmh does not believe it had any income that would be considered unrelated business income.

THERE IS A COMMITTEE OF THE BOARD RESPONSIBLE FOR SETTING FUNDRAISING DIRECTION, INCLUDING SOLICITING DONATIONS, ORGANIZING EVENTS AND PROMOTING AWARENESS. THIS PROGRAM INCLUDES: -SOLICITATION OF DONATIONS VIA WEBSITE (WWW.FRIENDSOFMUSICHALL.ORG/TAG/DONATE/). -DISTRIBUTION OF WINDOWS ON MUSIC HALL. A QUARTERLY E-NEWSLETTER DISTRIBUTED TO OVER 4,000 PATRONS OF MUSIC HALL. THIS E-NEWSLETTER SHARES THE MISSION AND CURRENT EVENTS OF FMH PLUS SOLICITS SUPPORT FROM THE PATRONS OF MUSIC HALL. THIS E-NEWSLETTER IS DISTRIBUTED VIA EMAIL AND IS FEATURED ON THE FMH WEBSITE. -SOLICITATION OF BOARD MEMBERS OF THE MUSIC HALL RESIDENT COMPANIES, INCLUDING THE CINCINNATI OPERA, CINCINNATI SYMPHONY ORCHESTRA, CINCINNATI MAY FESTIVAL AND CINCINNATI BALLET. -DONATIONS ARE ALSO SOLICITED DURING PERFORMANCES AT MUSIC HALL. -CHRISTMAS ORNAMENT FEATURING MUSIC HALL IS SOLD TO RAISE FUNDS AND AWARENESS -ADDITIONAL AWARENESS ACTIVITIES INCLUDE PARTICIPATION IN OVER THE RHINE COMMUNITY EVENTS, HOSTING AN ANNUAL MEETING INVITING MEMBERS, CONTRIBUTORS AND PRODUCTION OF AN AWARD WINNING DOCUMENTARY ABOUT MUSIC HALL -FOUR ORGAN CONCERTS WERE HELD TO RAISE AWARENESS, AND TO SOLICIT FUNDS. (C) REPRESENTATIVE GOVERNING BODYFMH HAS A GOVERNING BODY CONSISTING OF 21 DIRECTORS, ALL OF WHOM ARE INDEPENDENT OF THE ORGANIZATION AND COMMUNITY LEADERS. THESE DIRECTORS BRING A BROAD ARRAY OF TALENT TO THE ORGANIZATION AND REPRESENT THE GENERAL PUBLIC, INCLUDING BUSINESS PROFESSIONALS (CPAS, LAWYERS, MARKETING, INVESTMENT) HISTORIANS, MUSICIANS, COMMUNITY VOLUNTEERS, OVER THE RHINE CHAMBER OF COMMERCE, PATRONS OF MUSIC HALL AND REPRESENTATIVES FROM THE MEMBER ORGANIZATIONS (I.E. THE NON-PROFITS THAT USE THE HISTORIC FACILITY). PROSPECTIVE BOARD MEMBERS ARE VETTED BY A NOMINATING COMMITTEE AND VOTED ON BY THE BROADER BOARD. (D) AVAILABILITY OF PUBLIC FACILITIES OR SERVICES, PUBLIC PARTICIPATION IN PROGRAMS FMH PROVIDES TOURS OF MUSIC HALL. THE TOUR HIGHLIGHTS THE HISTORY AND ARCHITECTURAL DETAILS OF THE HALL. THE TOURS ARE PROVIDED BY FMH VOLUNTEERS. THE TOURS ARE OPEN TO THE PUBLIC, AND ADVERTISED ON THE WEBSITE. FMH CHARGES A NOMINAL FEE FOR THE TOUR, WHICH HELPS TO ENSURE THAT THE PUBLIC HAS THE BEHIND THE SCENES ACCESS TO MUSIC HALL. FMH ALSO HOLDS 4 CONCERTS A YEAR FEATURING THE MIGHTY WURLITZER ORGAN AND EACH CONCERT HAS BEEN SOLD OUT. FMH PROVIDES FUNDING FOR REPAIRS AND THE RENOVATION OF MUSIC HALL FOR THE CONTINUED ENJOYMENT OF THE PUBLIC. THESE REPAIRS INCLUDE FOR EXAMPLE, HOUSE CURTAIN, HALL LIGHTING, RESTORED AND REFURBISHED PAINTINGS, HANDRAILS, HALL ENTRIES, BALLROOM AND LOBBY FLOORS, RESTROOMS, CARPETS. FMH HAS ALSO FOCUSED ON THE PRESERVATION AND DISPLAY OF CARVED WOODEN PANELS. THESE PANELS ARE EXCELLENT REPRESENTATIONS OF THE CINCINNATI ART-CARVED FURNITURE MOVEMENT OF THE 19TH CENTURY. THE RESTORED PANELS ARE DISPLAYED FOR THE PUBLIC IN MUSIC HALL.
