In may 2024, bethesda, inc. Amended its articles of incorporation in order to update its purposes as well as to identify the organizations that it supports exclusively which are bethesda hospital, inc. And bi3 fund collectively, the "publicly supported organizations". This also includes the publicly supported organizations' respective successors, and organizations controlled by the publicly supported organizations (together with the publicly supported organizations called the "supported organizations") so long as the supported organizations are exempt from federal income taxation under section 501(a) of the code and are described in section 501(c)(3), and either section 509(a)(1) or section 509(a)(2) of the code. Notwithstanding the foregoing, bethesda, inc. May substitute an organization or organizations described in section 501(c)(3), and section 509(a)(1) or section 509(a)(2) of the code for the publicly supported organizations and may operate for the benefit of new or additional organizations described in section 501(c)(3), and section 509(a)(1) or section 509(a)(2) of the code, as long as each such organization for which such substitution or addition is made has the same purpose or purposes as the publicly supported organizations. The articles of incorporation also were amended to indicate that bethesda, inc. Is not empowered to operate to support or benefit any organization or organizations other than the supported organizations. Finally, the articles of incorporation were amended to remove the recipient of bethesda, inc.'s assets upon dissolution from the west ohio conference of the united methodist church to bi3 fund or its successor. Besides the articles of incorporation, bethesda, inc. Amended its bylaws to indicate that it supports its publicly supported organizations, including bi3 fund, as set forth in its articles of incorporation. Also, all trustees must be willing and able to serve as members of the board of directors or committees of any of bethesda, inc.'s supported organizations, including, but not limited to, bi3 fund, as required to ensure compliance with bethesda inc.'s status as a supporting organization under section 509(a)(3) of the internal revenue code of 1986, as may be amended from time to time. Finally, with the establishment of bi3 fund, bethesda, inc. Eliminated its bi3 committee.

FORM 990, PART VII, SECTION A - AVERAGE HOURS PER WEEK:

The officers and directors for bethesda, inc. That show at least 60 hours per week, excluding the vp-treasury/investment services, provide services to trihealth, inc. (a related organization who paid the individuals) and its subsidiaries/affiliates ("trihealth") as an entire system. Hours worked, including their duties as officers and directors of the filing organization, are not tracked on an entity by entity basis, thus the average hours per week disclosed are estimates to show that the time spent by these individuals relate to them fulfilling their duties as full-time, 60 hours-per-week employees of trihealth versus their duties as officers and directors of the filing organization. In addition, the compensation reported on form 990, part vii was paid to these individuals in fulfillment of their duties as employees of trihealth. Directors (as noted with a "med staff pres" reference) for bethesda hospital, inc. Serve on the board in their capacity as medical staff president for either bethesda hospital, inc. Or the good samaritan hospital of cincinnati, ohio. Compensation shown is for his/her duties as medical staff president of the respective hospital and not for serving as a director.
