Governance Explanations

Form 990, Page 6, Part VI, Line 6

The organization containes both voting and non-voting members. Voting members are members of the public who are family, consumers, or friends of a person with a mental illness who accept the mission of the organization and pay annual dues. The voting members are grouped into local affiliate groups for voting purposes. Non voting members (associates) are entitled to all the rights of the voting members except for the right to vote and hold office.

Form 990, Page 6, Part VI, Line 7A

Voting members of the organization are entitled to nominate and elect members of the board of trustees. The election of trustees occurs at the annual meeting from a listing of candidates compiled by a nominating committee, consisting of voting members.

Form 990, Page 6, Part VI, Line 11B

The form 990 is prepared by a public accounting firm. The 990 is then reviewed by the director of operations. Once reviewed, it is then distributed to all members of the board for their approval prior to filing.

Form 990, Page 6, Part VI, Line 12C

The executive director working in concert with the board of trustees, monitors and enforces the conflict of interest policy. Conflicts are recorded in the minutes of the meeting in which they are disclosed.

Form 990, Page 6, Part VI, Line 15A

Compensation is set by the board of trustees based on their review of comparable salaries at similar organizations and market factors. Compensation decisions and deliberations are documented by the organization.
