Each board member is required to submit in writing to the president of the board of directors a list of all business or other organizations of which he or she is an officer, member, owner, or employee or for which he or she acts as an agent, with which the hospice has, or might reasonably in the future enter into, a relationship or a transaction in which the board member would have conflicting interests. A written statement will be resubmitted with any necessary changes each year. The president and the vice president of the board shall become familiar with the statements of all board members in order to guide their conduct should a conflict arise. Hospice staff and volunteers are required to report/disclose all current business or employment relationships with any patients, vendors, contractors, or organizations with which hospice of the panhandle currently does business. Employees/volunteers will sign a conflict of interest statement at time of employment and every three years thereafter.

Form 990, Page 6, Part VI, Line 15A

Compensation of the executive director and key employees is determined by an annual market study done by the human resource director. Once the data is reviewed, the human resource director considers the median wage of each position, including the executive director and key employees, and then recommends any changes to the established pay scale to the personnel committee of the board of directors. The personnel committee then reviews the recommendations in order to formulate a recommendation to the full board of directors for approval. As some staff are also members of this committee, when the personnel committee discusses its review, the staff members are asked to remove themselves from the meeting. The personnel committee then takes its recommendation to the full board of directors, who then also conducts a closed session (with the executive director absent) when discussing the position's salary. Minutes are kept of both the personnel committee and the board of directors meeting to reflect the review, recommendation, and decisions made regarding compensation.

The organization registers with the charitable funds registration of wv under the auspices of the wv secretary of state. The organization is required to provide with an application the following: 501(c)3 determination letter, a copy of federal form 990, a copy of audited financial statements, a list of board of directors, and a copy of fundraising brochures that lists the address of the wv secretary of state where they can request a copy of our corporation documents, 990, financial statements, and conflict of interest policy.

Hospice follows the fasb accounting standards codification, which provides guidance on accounting for uncertainty in income taxes recognized in an entity's financial statements. Hospice's policy is to recognize interest and penalties on unrecognized tax matters in management and general expense in the financial statements. Hospice's tax returns are subject to examination by the internal revenue service and state and local taxing authorities, generally for a period of three years after the returns are filed.
