“Membership - held by any individual or organizatn involved in the presentatn of the performing arts including but not limited to performing artists, artist managemt agencies, presenters, service organizatns, college students, and various businesses supporting the performing arts. Honorary membership may be conferred by action of the board of directors. Each member organizatn shall be entitled to one voting rep. Each member rep shall have one vote upon each matter submitted to a vote at meetings of the membership. Non-voting reps of dues-paying members shall be entitled to the privilege of the floor but shall not be entitled to a vote at meetings of the membership. The board shall establish member rights and privileges which may be amended by the board of directors from time to time.”

“Directors shall be elected by a majority of the members through an election. Candidatesfor board membership shall be nominated for office by a nominating committee. Anymember who wishes to self-nominate, or nominate another member for consideration,may do so through any mechanism approved by the board of directors. Officers of thecorporation shall be elected from the current board of directors by a majority of theboard of directors”

“There shall be an annual meeting of the membership between october 1 and november30 of each fiscal year to elect members to the board of directors, and to transact otherbusiness as may be necessary. Special meetings of the membership may be requested by the president. In the absence of the president, special meetings of the board will be requested by either the vice president of the board, executive director, or other officer of the corporation. No fewer than five (5) meetings will be held by the board of directors during the fiscal year for the purpose of conducting oapn business.”

“The board shall adopt policies and procedures relating to conflict of interest which,among other things, will require each director, officer, employee, agent or volunteerdesignated by the president to file, upon the assumption of his/her duties and annuallythereafter, a signed statement disclosing any interest, direct or indirect, in any contractor other transaction between the corporation and him/her or a corporation, partnership,proprietorship, firm, association or other entity in which he/she is a director, officer oremployee or in which he/she has a substantial financial interest as a shareholder,partner, owner or otherwise. Any conflict of interest listed on such a statement shall bedisclosed to the board if not previously so disclosed.”

“Written contract voted and approved upon by the board with research supporting amount of compensation based upon other non profit organization open information reporting available publicly.”
