Governance Explanations

Form 990, Page 6, Part VI, Line 7A

Members elect the governing board. The state is divided into three zones (northers, central, and southern), and three directors are elected from each zone to represent the shooters in their respective zones. Day-to-day activities of the ita are managed by the officers and directors of the ita, who are elected at the annual meeting at the state shoot by representatives for indiana member gun clubs (30+ member panel). The positions of the ita officers and directors are: president, vice president, secretary, treasurer, and nine (9) directors. The officers and directors serve a term of one year, unless re-elected at the next annual meeting to serve for an additonal year. The nine (9) directors are the only voting members on the board, and in case of a tie vote, the president of th ita will cast the deciding vote.

Form 990, Page 6, Part VI, Line 7B

Members approve actions by the governing body for constitution and by-laws changes and real estate transactions only.

Form 990, Page 6, Part VI, Line 11B

Prior to filing, the form 990 is provided to the secretary/treasurer of ita to disburse among the ita officers and directors for review and discussion. Upon review and approval by the board of directors, the form 990 is signed by an ita officer and filed.

Form 990, Page 6, Part VI, Line 12C

At the beginning of each fiscal year, the ita officers, directors, and volunteers are required to complete a conflict of interest duality policy that discloses any family, business, or community organization that they have an interest in. During board meetings, any members with potential conflicts of interest do not participate in direct discussion or vote on such related matters, and such is noted in the board minutes.

Form 990, Page 6, Part VI, Line 15A

There are no compensated officers or directors at ita.

Form 990, Page 6, Part VI, Line 15B
