Rmhc-mvr provides a temporary "home away from home" for families of critically ill, hospitalized children and supports efforts that improve children's health within our region. We do this by providing hospital hospitality housing and community grants.

Governance Explanations

Form 990, Part VI, Section A, Line 7A

The number of trustees shall be no fewer than seven but not exceed twenty-five. Three of the twenty-five trustees will be appointed. Two of the appointed trustees shall be members of the miami valley mcdonald's cooperative, one representative being a mcdonald's owner operator and the other a representative of the mcdonald's corporate offices. The third appointed trustee shall be a member of the senior management of the children's medical center, dayton. All trustees shall serve for a term of three years, and no trustees designated as officers. Those board members serving as officers are eligible for three consecutive terms as deemed appropriate through the nominating process. After the expiration of a trustee's two three-year terms, the trustee shall be eligible to be re-appointed to the board of trustees after a one-year period has expired. Trustees need not be residents of ohio.

Form 990, Part VI, Section B, Line 11

Form 990 is provided to the organization's executive director and finance committee members for an in-depth review of the return prior to the time of filing with the irs. The form 990 is also provided to each voting member of the governing body of the organization for their review prior to a board meeting. Then at a board meeting, each voting member is given the opportunity to ask questions and comment on the form 990 before it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

During orientation new board members receive a copy of the organization's conflict of interest policy. Annually, at the first board meeting of the year, all board members sign an "annual interested parties statement" indicating that they have read the conflict of interest policy and disclosing any known conflicts of interest. At board meetings, should there be an item of business that might pose a conflict of interest, the board member(s) involved may participate in the discussion but they must leave the room when the vote is taken and they must abstain from voting on that item of business. This abstention is documented in the minutes of the board meeting. In addition, at the end of each board meeting, all board members complete a short self-assessment form that includes a question about whether potential conflicts of interest were disclosed. The board chair follows up with any board member who indicates that potential conflicts of interest might not have been disclosed. A whistleblower policy was adopted in early 2009. For many years the organization has followed a document retention schedule. In early 2009, a policy for document retention and destruction was adopted.

Form 990, Part VI, Section B, Line 15

Using information from the rmhc salary administration plan for the position of executive director, the chair of the board facilitates the annual review and any recommendation for compensation change. The executive committee of the board of trustees evaluates the executive director annually in writing and presents an overview of the annual evaluation to the full board.
