Governance Explanations

The executive committee is comprised of four officers: president, vice president, treasurer, and secretary. Between meetings of the board of directors, the executive committee may take any action within the discretion of the board of directors not prohibited by these regulations, a resolution by the board of directors (approved by the affirmative vote of at least two-thirds majority of the directors), or by statute. The executive committee shall report to the board of directors at each regular meeting of the board on actions taken by it.

An evaluation form was created in q1 fy22 to let the executive director know on what she would be evaluated. At the close of the fiscal year, the executive director and board chair completed the form. The executive director and board chair discussed their answers to the form as well as comments submitted by several board members.
